LLP Member Decisions and General-Partner Approvals as Evidence

This service concerns a particular decision and whether the people entitled to make it actually did so. An LLP may record member decisions in minutes or written resolutions. A limited partnership may act through its general partner under the applicable agreement; a corporate general partner may need its own board or authorised-signatory decision. These are not interchangeable “board minutes” for every partnership.

Show who made the decision and under what authority

Coddan checks the relevant agreement, people who took part in the decision, notice or consent rules, date, signatories and later amendments. The document should state the decision actually taken. A member certificate, a Companies House filing or an unsigned draft is not a substitute for evidence that the appropriate people approved the act. For a limited partner, participation in management may raise a separate legal question; Coddan will not write minutes that suggest authority contrary to the real arrangement.

Coddan can prepare routine records from verified instructions within an accepted service, assemble evidence of a historic decision that is already supported, and coordinate certification or notarisation where appropriate. We cannot invent a past meeting, approve a disputed vote or give an opinion on the effect of contested rights. A solicitor must handle those matters.

Send the transaction, operative agreement, existing decisions and recipient's requirements. We will identify which record can be prepared or certified and which question needs resolution before the document is used.

Check how the decision was actually made

For an LLP, read the agreement to establish how members approve the relevant action. For an LP or SLP, examine the general partner’s capacity, the agreement and any required consents. A company board resolution form may not reflect either structure.

Provide the original signed decision, attendance or consent evidence, amendments and the transaction it supports. Coddan can prepare or certify present evidence within an agreed scope, but it cannot fabricate a decision that was never made or retrospectively cure a disputed authority.

Can you prepare minutes after the event?

A contemporaneous record can be assembled from existing evidence where the real decision is established and the client authorises accurate recording. It must not claim a meeting occurred when it did not, add absent participants or backdate a signature. If the purported decision itself is disputed, a qualified lawyer should assess the legal position before the document is used.
