You do not need to design the technical governance arrangements or select governing provisions in advance. Coddan determines what those circumstances mean for the appropriate governance and governing or constitutional framework.

Once the structural and governance dimensions have both been determined, they can be brought together with the rest of the professional picture to establish the coherent route through which the organisation should be established.

Bringing the professional picture into one establishment route

By this stage, the important parts of the organisation have not been considered in isolation. Its destination and circumstances, appropriate place of establishment, Participant relationships, structure and governance framework have each contributed to the professional picture.

The next step is to bring those determinations together and establish a coherent route for the organisation. No individual fact or decision should substitute for that convergence simply because it appeared important earlier in the journey.

Once that route has been determined, the organisation can move from professional determination to legal or institutional creation or registration.

At this stage, formation or registration gives effect to decisions already reached through the establishment journey. It is not necessary to reopen the organisation, jurisdiction, structure or governance questions simply because the process has reached the point of creation.

You provide or confirm the factual information genuinely required for the relevant process, while Coddan handles the formation or registration work within the agreed scope and according to the route that has been determined.

Creation or registration is an important legal or institutional event, but it is not necessarily the end of the professional job. Once the organisation exists, the next question is what it needs in order to be put into appropriate working order.

Putting the organisation into appropriate working order

Legal or institutional creation establishes the organisation, but the professional job does not necessarily end at registration. The organisation may then need to be put into appropriate working order for the way it is intended to function.

Coddan considers what is actually required after creation and how those requirements should appropriately be implemented. The starting point is the function the organisation needs to perform, not a predetermined list of documents, materials or post-formation extras.

The appropriate implementation may be digital, physical or a combination of the two, depending on the function involved and the organisation's circumstances. Where something is genuinely required, the implementation should serve that requirement. Where it is not required, it should not be introduced simply to make the establishment appear more complete.

Once the organisation has been appropriately organised and implemented, there may still be a separate question where documents or organisational evidence need to be used for a particular purpose outside their immediate setting.

Where documents or organisational evidence need to be used for a particular purpose outside their immediate setting, it may be necessary to consider whether any further documentary treatment is required.

An international organisation, overseas Participant or cross-border circumstance does not by itself mean that certification, notarisation, an apostille, consular legalisation, translation or another documentary route is needed. The appropriate conclusion depends on the document, where and how it needs to be used, and the requirements that apply to that particular purpose.
