Replace a Companies House Filing When the Original Document Was Not Properly Delivered

Form RP01 provides a specific statutory route for replacing an earlier Companies House document where the original was not properly delivered or contained unnecessary material. For a Company Limited by Guarantee, the correct route depends on the original filing, the evidence available and the records connected to the correction.

RP01 is a replacement mechanism, not a general amendment form.

A replacement filing is linked to a specific document already delivered to Companies House. The replacement must satisfy the applicable requirements for proper delivery and must be supported by the appropriate company evidence and authority. The original filing must fall within the statutory RP01 framework; RP01 is not intended simply to change information because circumstances have subsequently changed or because a minor inaccuracy needs correction.

Identify the Original Filing

The company needs to establish which document was originally delivered, when it was registered and what information or material requires replacement.

The replacement information must be supported by reliable evidence and must match the company's identifying details and relevant particulars across the filing.

Select the Right Route

The appropriate level of support depends on whether the original filing is known, the defect can be evidenced and other company records or filings are connected to the correction.

A replacement filing must be matched carefully: Companies House requires the replacement application and replacement material to identify the original filing correctly and to contain matching company and filing particulars. Where the replacement does not meet the applicable requirements, Companies House may reject it. The Registrar retains the statutory decision on whether the replacement can be accepted.

RP01 operates under section 1076 of the Companies Act 2006. It is available for qualifying documents previously delivered to Companies House on or after 1 October 2009 where the original document was not properly delivered or contained unnecessary material. RP01 is not a general route for correcting every historical filing error, and trivial inaccuracies may require a different approach.

Where a document delivered for a Company Limited by Guarantee (CLG) was not properly delivered or contained unnecessary material, Coddan can identify the original filing, establish whether Form RP01 is the appropriate statutory route, reconstruct the supportable replacement and coordinate its delivery to Companies House.

This is not merely a form-completion service. The work connects the original filing, the event or decision that actually occurred, the company’s evidence and authority, the replacement material and the resulting public-register position. Companies House retains the statutory decision on whether the replacement is accepted, recorded or annotated.

Does This RP01 Service Match the Problem?

This Service Is Likely to Fit

  • an eligible filing contains a material error that appears to mean the document was not properly delivered, or the filing contained unnecessary material;
  • a director’s or PSC’s particulars, including a date of birth, may require replacement;
  • incorrect information was introduced at incorporation or in a later appointment filing;
  • a qualifying Confirmation Statement or other eligible document requires replacement;
  • the company needs the original affected filing identified before the route can be chosen;
  • the company is unsure whether RP01, RP04 or another registrar procedure applies; or

A Different Route May Be Required

  • the error is only a very minor inaccuracy in an otherwise properly delivered document;
  • a person says that they never consented to act as a director;
  • an address was used without authority, or the right to use it has ended;
  • material needs to be removed rather than replaced;
  • a home address needs suppression from historical public documents;
  • fraud, identity theft, disputed authority or contested membership is involved;
  • the company is dissolved and must first be restored; or
  • the document concerns a company charge, for which separate correction provisions apply.

Coddan will identify the apparent destination before preparing a replacement. For historical home-address suppression, use the separate CLG SR01 address-suppression service. If the company is dissolved, review company restoration support.

What Coddan Takes Responsibility For

Participant Provides

The CLG’s name and number, the filing believed to be wrong, a short description of the required correction, relevant internal records, available evidence, Companies House correspondence and any known director or PSC identity-verification issue.

Coddan Reviews

The filing history, original document, nature and materiality of the defect, legal effect of registration, company evidence and authority, later dependent filings, available correction route, filing channel and any connected identity-verification position.

Coddan Determines and Prepares

The apparent statutory route, RP01, the complete replacement document or replacement information, matching controls, authority requirements, current online or paper delivery arrangement and routine Companies House correspondence within the agreed scope.

Participant Authorises

The Participant confirms the historical facts and corrected information, supplies declarations, authentication or company authority that legally belongs to them, approves the completed material and authorises submission after scope and fees have been agreed.

Service Outcome

A properly analysed, prepared and coordinated replacement-document application, copies of the submitted material, a record of the Companies House response and a clear identification of any connected filing, identity-verification or internal-record work that remains. RP01 is the instrument; the deliverable is a supportable connection between the original document and the corrected register position.

Why a CLG Replacement Requires CLG Evidence

The Companies House form may be used by different company types, but the evidence behind a replacement is organisation-specific. A CLG ordinarily has members and guarantors rather than shareholders. Its supportable correction may therefore depend upon its statement of guarantee, articles and objects, register of members, director consents, board or member authority and the actual role of any corporate Participant.

For a charitable company, CIC limited by guarantee, right-to-manage company or another property-related CLG, the public-register correction may also need to remain consistent with separate regulator, membership or property-management records. Coddan reviews those connections to determine the correct Companies House work; RP01 does not itself decide charity, CIC, leasehold, property or disputed membership rights.

Safe Starting Process: Begin with the Filing, Not Sensitive Evidence

For the initial review, provide only:

  • the company name and company number;
  • the type and date of the filing believed to be incorrect;
  • a short description of the apparent problem;
  • whether it concerns a director or PSC;
  • whether Companies House has issued correspondence or rejected a filing; and
  • your relationship to the company.

Do not send identity documents, Personal Codes, authentication codes, full dates of birth, residential addresses, complete statutory registers or unredacted sensitive evidence through the initial enquiry. The enquiry establishes only the apparent filing problem and suitable service scope; it does not itself appoint Coddan or authorise submission.

The initial enquiry is a route and scope triage, not an implied free substantive audit of the filing. If Coddan accepts the instruction, the engagement scope, applicable professional fee, payment basis and any separate official or third-party charge are confirmed before chargeable work begins. Coddan then provides the approved method and specific request for any sensitive evidence, codes or records needed for the agreed work. Only material requested for that instruction should be supplied.

What RP01 Replaces—and What It Does Not

RP01 is used to replace a qualifying document delivered to the Registrar of Companies on or after 1 October 2009 where the original was not properly delivered or contained unnecessary material. It is not a universal method of amending any historical fact, and it cannot be used for documents delivered under the Companies Act provisions concerning company charges.

In most cases, the registrar requires a complete replacement document. Where the original document took legal effect upon registration—an incorporation application is an important example—the registrar may instead require replacement information sufficient to identify what is being replaced and the person to whom it relates. Coddan establishes which construction fits before preparing the material.

Replacement is not alteration by preference. RP01 cannot be used to manufacture a transaction, appointment, resolution or historical event that did not occur. The question is not simply What should the register say now? It is What supportable replacement correctly records the event or information that the original document was intended to deliver?

If the document was delivered before 1 October 2009, Coddan must identify the applicable historical or current corrective route rather than force it into RP01. For example, Companies House gives a separate historical-form route for correcting certain pre-October-2009 director dates of birth.

RP01 or RP04? The Nature of the Defect Determines the Route

RP01 — Replacement

The usual replacement route where a qualifying original document was not properly delivered or contained unnecessary material. The replacement must be tied accurately to the original filing and must itself satisfy proper-delivery requirements.

RP04 — Second Filing

A limited route for a very minor inaccuracy in a document that was otherwise properly delivered. Companies House gives a minor spelling error such as “Road” as an example. It is not an alternative chosen simply because it looks shorter.

Coddan determines the apparent route from the original document, materiality of the problem, legal effect of registration, evidence, intended correction and procedure currently available. Where neither route fits, the matter is directed to the appropriate separate procedure.

When Another Registrar Route Is Required

Replacement, second filing, removal, rectification and suppression perform different jobs. The following matters are kept outside this RP01 service:

  • Non-consenting or false director appointment: a disputed or unauthorised appointment requires the current Companies House removal or dispute procedure and supporting evidence—not an assumed RP01 replacement.
  • Address used without authority: RP07 addresses certain disputed registered office, service or principal-office address positions.
  • Broader removal: RP08 or another applicable removal procedure may be required where material should be removed rather than replaced.
  • Historical residential-address suppression: SR01 is a separate individual application for eligible public documents.
  • Company charges: charge documents are excluded from RP01 and have their own statutory correction and rectification provisions.
  • Complex or disputed facts: Companies House may require persuasive evidence, and some disputes or transactions may require legal advice or a court declaration.

Coddan can diagnose the apparent destination, but does not treat one form number as a substitute for the statutory test. Future Coddan pages dedicated to the separate procedures should be linked only after they are live and their current legal routes have been verified.

Common RP01 Replacement Positions

A possible RP01 instruction may arise where an eligible document contains or introduced:

  • an incorrect director date of birth or other material appointment information;
  • incorrect PSC particulars, including an incorrect date of birth;
  • incorrect information within an incorporation application;
  • incorrect information in a qualifying Confirmation Statement;
  • information inconsistent with the decision, appointment or event the filing was intended to record;
  • defective articles, resolutions or another document that did not satisfy proper delivery;
  • unnecessary material included in a delivered document; or
  • another filing for which the current statutory replacement process is available.

Companies House’s online replacement facility also covers particular CS01 and SH01 cases. An ordinary CLG does not normally have shareholders or share capital, so those categories must not be applied mechanically to it. They become relevant only where the actual document and company structure justify them.

What Coddan Reviews Before Preparing RP01

A public filing is evidence of what was delivered; it is not always conclusive evidence of the company’s complete internal history. Coddan compares the filing with the records that should establish what actually occurred.

Original Filing and Public Position

  • the original document and its registration date;
  • the information said to be wrong or unnecessary;
  • the filing’s legal effect;
  • later filings that repeat or depend on it; and
  • the current Companies House correction channel.

Internal Evidence and Authority

  • articles, incorporation records and board or member decisions;
  • director consent and appointment records;
  • PSC notices and supporting records;
  • membership applications and register-of-members information;
  • Confirmation Statements and contemporaneous correspondence; and
  • identity evidence collected through the agreed secure process where genuinely required.

Evidence Before Replacement

Coddan will not invent authority, manufacture a historical resolution, backdate a current decision or create an appointment that did not occur. Where the evidence is incomplete, the work distinguishes confirmed information, supportable information, inconsistencies, unresolved gaps, decisions still required and matters requiring legal advice or another registrar route.

Replacement-Document Matching Control

The RP01, replacement material and existing register must be connected consistently. Coddan checks:

  • company name and company number;
  • the original document type and registration date;
  • relevant appointment, event or effective dates;
  • names and personal particulars required by the form;
  • whether a full document or replacement information is needed;
  • whether the person filing is the company concerned or the original deliverer;
  • the applicable replacement-filing statement and authentication; and
  • whether the replacement would conflict with another filing or internal record.

Director and PSC Corrections: Reconcile the Filing and Identity Position

RP01 work can expose inconsistencies in a director’s name, date of birth, service address or appointment details, or in PSC particulars. Correct details matter because current Companies House identity-verification requirements connect a verified person with their roles and, where applicable, their Companies House Personal Code.

Identity verification is not automatically a prerequisite for every RP01 application, and RP01 does not complete identity verification. Where the correction and current identity position intersect, Coddan can identify the connection and, if separately instructed, provide the applicable CLG director and PSC identity-verification service through its ACSP function.

A Personal Code belongs to the individual. It must not be placed in a public example or sent through an insecure initial enquiry. RP01 must never be used as a means of avoiding an identity-verification obligation.

Current Online, Paper and Protected-Filing Routes

The filing channel depends on the original document. Companies House currently permits online replacement through WebFiling for:

  • AP01 — appointment of a director;
  • PSC01 — notice of an individual person with significant control;
  • CS01 — only where the statement of capital or shareholder information was incorrect; and
  • SH01 — return of allotment of shares.

For other supported documents, the applicable replacement material and RP01 ordinarily need to be prepared for the current paper route. The online facility does not mean that every mistake in an AP01, PSC01, CS01 or SH01 automatically qualifies for RP01; the statutory replacement test still applies.

Protected Online Filing

If the company uses Companies House Protected Online Filing (PROOF) and the replacement must be sent on paper for a protected form, Companies House may require paper consent form PR03. Coddan checks this before assembly and submission.

Official Fee Position

The current RP01 form states that, where a fee was paid for the original document, the applicant should not send that filing fee again with the replacement. Coddan’s professional fee remains separate. If a connected correction, identity-verification service or different statutory procedure carries its own official or third-party charge, that charge must be identified before the additional work is authorised.

What the Participant Must Approve or Do

Coddan prepares and coordinates the professional work; the Participant retains the facts, authority and declarations that legally belong to them. Depending on the route, the Participant may need to:

  • confirm the correct historical information and the event that actually occurred;
  • approve Coddan’s proposed corrective route and completed replacement material;
  • supply reliable supporting evidence through the agreed secure channel;
  • resolve contradictory instructions or obtain a current board or member decision where one is legally required;
  • make the replacement-filing statement, sign or authenticate as required;
  • supply a company authentication code or Personal Code securely where separately required;
  • pay the agreed professional fee and any verified third-party or official charge; and
  • authorise Coddan to submit or coordinate delivery.

Coddan cannot confirm a historical fact, exercise a company power or make a personal declaration on behalf of someone who must lawfully do so themselves.

The Complete Coddan RP01 Service Journey

  1. Identify the company and original filing. Coddan records the CLG, the Participant’s relationship, the exact Companies House document, its registration date and the information said to be defective or unnecessary.
  2. Establish the supportable historical position. We compare the public filing with the company’s constitution, decisions, consents, registers, notices and contemporaneous evidence to establish what actually occurred.
  3. Determine the corrective destination. Coddan tests whether the problem appears material, trivial, disputed, within RP01 or better directed to RP04, removal, address correction, restoration or legal advice. Later filings and internal records dependent on the error are mapped at this stage.
  4. Select the replacement construction and channel. We determine whether a complete replacement document or replacement information is required, whether online or paper delivery applies and whether PROOF or connected identity-verification requirements affect the route.
  5. Prepare and match the application. Coddan prepares RP01 and the replacement material, applies the identifying-detail controls and gives the Participant the completed documents for review.
  6. Obtain authority and confirm the commercial scope. The Participant confirms the facts and supplies the statement, signature, authentication or company authority that belongs to them. Professional fees, conditional work and the official-fee position are confirmed before submission.
  7. Submit, evidence and monitor delivery. Coddan submits or coordinates delivery, retains the submission record and deals with a Companies House enquiry or rejection to the extent stated in the agreed scope.
  8. Record the outcome and identify the remaining road. We confirm what Companies House recorded or annotated, provide the submitted material and outcome record, and identify any dependent filing, internal-record or separately required identity-verification work.

What Companies House May Do After Submission

Companies House may accept and record the replacement, reject it, ask for information or require corrected material. If it accepts the replacement, the registrar records the original delivery date, the replacement date and the fact that the document has been replaced. The registrar decides, case by case, whether material from the original should be removed.

Replacement Does Not Promise Erasure

RP01 does not guarantee that every trace of the original will disappear. Historic visibility may remain, Companies House will retain a replacement annotation, and independent databases or search-engine copies may continue to show earlier information. Replacement, rectification, suppression and removal are different procedures.


Rejection, Enquiry and Changed Circumstances

An application may fail or change direction because identifying details do not match, the wrong original filing was selected, the replacement is incomplete, an online route is unavailable, PROOF affects paper delivery, evidence changes, a dispute emerges or another statutory procedure applies.

Before the instruction begins, the engagement scope should state whether it includes a routine Companies House enquiry response, correction of a preparation or matching defect and any resubmission. Work caused by new facts, changed instructions, disputed authority, substantial additional evidence or a different statutory route is identified separately rather than being concealed within the original fee. No resubmission can be guaranteed to succeed.


An Earlier Error May Continue into Later Filings and Internal Records

RP01 addresses the identified original document. It does not automatically correct every later filing or internal record that repeated the same information. Coddan’s review can identify effects on:

  • later Confirmation Statements and director or PSC filings;
  • current director or PSC identity-verification alignment;
  • the register of members, membership applications and certificates;
  • minutes, written resolutions and director-consent records;
  • charity, community interest company or regulator records;
  • RTM or property-management governance records; and
  • information held by banks, accountants or other bodies.

Companies House records and the company’s internal records perform different jobs. If they disagree, Coddan can separately review and reconcile the supportable position. The service will not invent missing entries or use an accepted RP01 as proof of a decision that never occurred. Where the error affects the company’s annual record, Coddan’s CLG Confirmation Statement support may provide the appropriate connected workstream.

Specialist CLG and Regulator Boundaries

After establishing the core CLG evidence, Coddan considers whether the organisation’s charitable, community-interest or property-related status creates a separate record or regulator consequence. The Companies House replacement remains only one part of that wider position.

Charitable CLG

A Companies House replacement does not automatically correct Charity Commission or another charity regulator’s records. Trustee, charity-record and regulator work remains separate where relevant.

CIC Limited by Guarantee

Not every CIC is limited by guarantee. RP01 does not change CIC status, update the CIC Regulator automatically or displace CIC reporting and asset-lock obligations.

RTM and Property CLG

For a right-to-manage, resident-management or other property-related CLG, Coddan checks whether the correction affects membership, directors, management authority or correspondence. RP01 does not decide leasehold, property or disputed membership rights.

What Affects the Service Scope and Price?

The service is scoped from the work actually required, including:

  • the type and registration date of the original document;
  • whether it had legal effect upon registration;
  • whether a complete replacement or replacement information is required;
  • whether online filing is available or paper filing and PR03 consent are needed;
  • the number of affected documents and dependent filings;
  • the availability and reliability of evidence;
  • whether internal records agree with the public filing;
  • whether a director or PSC identity-verification matter is connected;
  • whether Companies House has already rejected an application;
  • whether the information is disputed or another statutory route applies; and
  • whether record reconciliation or legal advice is required.

What the Participant Receives

Every accepted instruction must have a written scope that identifies the core RP01 outputs and any conditional work. For an RP01 preparation and submission instruction, the core service record should state whether it includes:

  • review of the original Companies House filing;
  • RP01 route assessment;
  • identification of the replacement document or information;
  • evidence and authority checklist;
  • completed RP01;
  • prepared replacement material;
  • matching and consistency review;
  • online or paper submission coordination;
  • copies of submitted material;
  • delivery or submission record;
  • record of the Companies House outcome;
  • identification of dependent filings, internal records or separate identity-verification work; and
  • a closing service note.

Conditional Work Must Be Named Separately

A Companies House enquiry response, resubmission, additional evidence reconstruction, correction of dependent filings, director or PSC identity verification, internal-record reconciliation and work under another statutory route are included only where the written scope says so. The scope must distinguish correction of Coddan’s preparation or matching work from additional work caused by new facts, changed instructions or a different legal destination.

The Capability Extends Beyond CLGs

Coddan’s replacement-document capability is not confined to Companies Limited by Guarantee. Corresponding work may be available for companies limited by shares, CICs, other eligible UK companies and limited liability partnerships through the applicable LLP replacement process. Professional Responsibilities and Decision Boundaries

  • Coddan: provides the agreed company-secretarial, corporate-administration, document-review, replacement-preparation, record-reconciliation and separately instructed identity-verification work.
  • The company or Participant: supplies facts and evidence, resolves instructions, makes decisions and gives declarations, authentication or authority that belong to them.
  • Companies House: independently accepts, rejects, records, annotates or removes material under its statutory powers.
  • Other professionals or bodies: courts, lawyers, accountants, charity or CIC regulators and property specialists retain matters falling within their own functions.

Coddan does not determine disputed historical facts or guarantee acceptance, processing time, removal of the original document or the decision of any regulator or court.

Coddan’s Corporate and Regulatory Position

Coddan CPM Limited provides company-secretarial and corporate-administration services. Companies House’s published list identifies Coddan CPM Limited as an ACSP supervised by HMRC for anti-money-laundering purposes.

These are distinct facts: HMRC supervision concerns Coddan’s status as a supervised Trust or Company Service Provider, while ACSP registration concerns its status as a Companies House authorised agent. Neither status transfers Companies House’s RP01 decision to Coddan, and neither amounts to government endorsement, accreditation or recommendation.

What does RP01 replace?

It replaces a qualifying document delivered on or after 1 October 2009 that was not properly delivered or contained unnecessary material. It is not available for every historical change and is excluded for documents concerning company charges.

Does RP01 remove the original document from public view?

Not automatically. Companies House records that a replacement was filed and decides whether material from the original should be removed. Historic or third-party copies may remain.

What is the difference between RP01 and RP04?

RP01 is the replacement procedure where the qualifying original was not properly delivered or contained unnecessary material. RP04 is limited to a very minor inaccuracy in an otherwise properly delivered document.

Can RP01 correct a director’s date of birth or PSC information?

Potentially, but the route depends on where and when the incorrect information was introduced. Coddan identifies the original filing, supporting evidence and current replacement method before preparing the correction.

Can RP01 be filed online?

Only for the document categories currently supported by Companies House WebFiling: AP01, PSC01, certain CS01 replacements and SH01. Other eligible replacements ordinarily use the paper route.

Does identity verification have to be completed before every RP01?

No. Identity verification and RP01 are separate requirements. They may intersect where director or PSC information is corrected, but the correct sequence depends on the filing and current identity position.

What if the original filing was made before 1 October 2009?

RP01 does not apply. Coddan must identify whether a historical correction form, a current update, a removal procedure, legal advice or another route fits the particular document.

What happens if Companies House rejects the replacement?

Coddan can review the reason and, within scope, correct a preparation or matching defect and coordinate resubmission. New evidence, a dispute or a different statutory procedure may require additional or separate work.

Can Coddan correct connected company records as well?

Coddan can identify connected internal-record work and may reconcile supportable records under a separately agreed company-secretarial scope. RP01 itself does not correct minutes, resolutions, the register of members or regulator records.

What if the appointment or information is disputed?

A genuine dispute is not converted into a replacement merely by filing RP01. Companies House considers evidence, and complex questions of validity, authority or third-party rights may require legal advice or a court declaration.

Send the company name and number, filing type and date, a short description of the apparent problem and your relationship to the CLG. Coddan can then identify whether RP01 appears to fit, what evidence and authority will be required and which service scope should be agreed.

Do not send Personal Codes, authentication codes, identity documents or unredacted sensitive evidence in the initial enquiry.
