Affordable private CLG formation online, with experienced people to help

Starting a club, association, community organisation or other membership body? Form a private UK company limited by guarantee (CLG, also called an LBG company) through Coddan. Packages start at £119.99 + VAT, including the £100 Companies House incorporation fee, using your own suitable registered office in England and Wales. You provide the organisation’s information and approvals; our experienced team prepares, reviews and submits the agreed application. Choose a package or ask for the services your organisation needs.

Your members and directors need company rules that fit the organisation. Suitable established articles can serve a straightforward club or association; you can also provide your purposes, bring prepared articles or discuss particular arrangements. See what our formation service brings together. For charitable plans, use the charitable formation route.

Your personal manager: You receive an assigned personal manager whom you can contact directly by phone or email about your instruction and the next step. Your manager helps clarify requests and next steps during working hours, so you have a familiar point of contact. Online ordering is available 24/7. Registering a limited by guarantee company through Coddan is a fast and easy process. In our experience, Companies House usually registers a ready ordinary application within a few working hours of our submission. You complete our online formation order rather than a separate paper IN01 for this route.

Preparation that fits your organisation. We help turn your purposes, membership and director arrangements into suitable information and company documents. Individual directors and PSCs must complete Companies House identity verification through the free GOV.UK One Login route or an Authorised Corporate Service Provider, unless already verified. Being solely a guarantor-member does not create that requirement; separate AML customer checks may still apply. You approve the application; we handle the agreed submission and help with questions along the way.

Expert handling of fast setup and formation for NPCs, NGOs, CLGs, and LBGs; register at Companies House: In our experience over 20 years, Companies House usually issues the certificate within a few hours of our submission of a ready ordinary application. Master quality formation and company records

Ask about an appropriate address service, the register of members, initial decisions or useful company records. We can arrange digital or printed materials to suit the work you request.

Stay compliant: annual filings made easy

Ask from the outset or come back for a confirmation statement, a change to company details or continuing secretarial support. We can agree one filing or continuing assistance.

Documents for a particular purpose

If someone asks you for an official company document, a certified copy, notarisation or an apostille, tell us what they have requested and where it will be used. We can check what service is available and quote the appropriate work.

Private Company Limited by Guarantee Formation: The Essentials

Form a private company limited by guarantee (CLG) for a club, association or membership organisation, with suitable preparation and someone to ask. A CLG has guarantor-members instead of shareholders. Your company name must normally end with Limited or Ltd unless it qualifies for a statutory exemption. You may apply to omit Limited or Ltd if the company meets the applicable exemption requirements and its Articles of Association permit this. Charitable plans need their own formation route, and operating as a CLG does not automatically confer charitable status.

Starting a club, association, or membership group? With Coddan CPM, limited by guarantee company formation just got simpler. This essentials package lets you focus on your group’s vision while we handle the details of limited by guarantee company set up. Unlike traditional companies with shareholders, your new structure features guarantor-members, perfect for organisations run by passion, not profit. Whether you’re tackling limited by guarantee company creation for the first time or refining your limited by guarantee company set up, our expert support and clear preparation guides keep the process smooth and straightforward. If you’re planning a charitable route, just note you’ll need specialised formation options. Otherwise, this is the toolkit for getting your CLG up and running, giving you both flexibility and peace of mind as you build your community. Let’s bring your group’s ambitions to life—the smart way.

People and preparation
Prepare the name, purpose, people, addresses, guarantees and control details. A private CLG needs at least one director and one guarantor-member; one person can hold both roles. Particular organisations may need more people.
Online formation and cost
Coddan prepares, reviews and submits your approved application. Packages start at £119.99 + VAT, including the £100 official fee, using your suitable England and Wales registered office. Compare the package documents, addresses and support.
Preparation time
Choose suitable established articles, supply prepared articles or discuss particular rules. Coddan confirms further work and pricing before proceeding. See preparation estimates.

Before You Choose a Formation Package

Is a Company Limited by Guarantee Right for What You Are Building?

A private company limited by guarantee (CLG) is an incorporated company with no share capital. Its members are guarantors rather than shareholders and undertake to contribute an agreed amount to the company’s assets if it is wound up. Its articles and applicable law govern its purposes, decision-making and any restrictions on distributing surplus. CLGs are often used for nonprofit organisations; incorporation alone does not establish charitable status or tax exemption.

1

What will your organisation do?

A standard non-charitable private company limited by guarantee is one choice for an organisation that wants members rather than shareholders. CLGs are also used for other purposes, sometimes with different constitutional or regulatory requirements. Depending on the circumstances, this may include:

  • charities and other charitable organisations;
  • community organisations and associations;
  • membership organisations, clubs and societies;
  • certain property-management or residents’ organisations;
  • other organisations requiring a guarantee-based company structure.

Setting up a nonprofit organisation and forming a company limited by guarantee are different tasks. Nonprofit setup involves agreeing the organisation’s purposes, governance, funding and practical arrangements. CLG formation creates a particular company structure through registration at Companies House. A CLG may suit the organisation, but other structures may be appropriate. Incorporation is one stage; further organisational arrangements and any applicable registrations remain separate.

2

What details do you need to prepare?

Before applying, prepare these details:

Company purpose Intended objects and activities
Directors The people who will run the company
Guarantors / members The people or organisations involved
Registered office The company’s registered address
Articles The rules for running the company
Identity & Companies House Personal details and required identity checks

Non-Profit Structural Guide UK Legal Structures Compared CLG vs CIC vs Charity

Comparing UK Non-Profit Structures: Which Entity Type Fits Your Mission?

Choosing the right legal framework is critical for non-profit governance, funding eligibility, and regulatory compliance. Compare a non-charitable CLG, a CIC and the charitable CLG or CIO routes below before forming your organisation. These choices overlap: a CIC may be limited by guarantee or shares, and charitable status is distinct from company structure.

Standard Non-Profit Structure

Non-Charitable Company Limited by Guarantee (CLG)

Can suit clubs, trade associations, non-profit sports entities, and social enterprises seeking a membership-based company structure. Particular activities, articles or intended status may bring additional requirements.

Primary Regulator: Companies House

Asset Lock: Non-profit restrictions can be written into suitable articles; the CLG structure alone creates no statutory CIC asset lock.

Profit Distribution: Governed by the articles and applicable law; suitable non-profit articles restrict distributions to members.

Incorporation Speed: Typically 3–24 hours after a ready application is submitted

Social Enterprise Statutory Asset Lock

Community Interest Company (CIC)

Designed for social enterprises trading for community benefit. A CIC can be limited by guarantee or shares and requires a Community Interest Statement, statutory asset lock and CIC Regulator approval. A CIC is not a charity.

Primary Regulator: Companies House & CIC Regulator

Asset Lock: Mandatory by statutory law

Profit Distribution: A guarantee CIC has no shares; a share-based CIC may pay permitted dividends under its articles and the applicable asset-lock and dividend rules.

Incorporation Speed: Typically 3–10 working days after a ready application is submitted (requires approval)

Charitable Purposes & Public Benefit

Charitable CLG or CIO

For exclusively charitable purposes and public benefit. A charitable CLG incorporates at Companies House, with charity registration considered separately. In England and Wales, a CIO is created by Charity Commission registration and does not register at Companies House. Gift Aid and tax reliefs have separate HMRC conditions; grant eligibility depends on the funder.

Registration: A charitable CLG uses Companies House and the relevant charity-regulator route; an England and Wales CIO registers with the Charity Commission.

Assets: Dedicated to charitable purposes under the governing document and charity law.

Surpluses: Applied to charitable purposes rather than distributed to members; permitted payments and trustee benefits follow charity-law rules.

Incorporation Speed: Multi-step registration process

In England and Wales, charity registration is generally required at annual income of £5,000 or more, subject to applicable exceptions; CIOs register regardless of income. Scotland has OSCR and the separate SCIO structure. Northern Ireland follows its own Charity Commission rules. Ask us about the route for your jurisdiction.

These are indicative incorporation-processing estimates after submission with the required information and documents ready. The actual time depends on the business structure and Companies House or regulator workflow. Applications to omit “Ltd”, for example, can take longer while Companies House checks the articles and supporting information.

Unsure which non-profit framework aligns with your grant funding or governance goals?

Our corporate formation managers review your non-profit objectives, explain suitable formation work and discuss any custom Articles of Association you need. We explain the Companies House director and PSC identity requirements relevant to a company; being solely a guarantor-member or CIO trustee does not itself create that requirement. Any further drafting and its charge are agreed before proceeding.

Email info@coddan.co.uk for tailored non-profit formation guidance.

How to Register a Private Company Limited by Guarantee: Before You Apply

Company limited by guarantee formation is the process of preparing and registering a new company limited by guarantee with Companies House. It involves agreeing the company’s arrangements, preparing incorporation documents, providing required information, completing applicable checks and submitting the application. The company comes into legal existence when Companies House registers it, not when a formation order is placed.

Decide what your organisation will do, who will be involved and which service you need. If something is unclear, ask us rather than guessing.

Your organisation and its people

Prepare the proposed name, purpose and activities, and choose England and Wales, Scotland or Northern Ireland for registration. Give us the applicant’s contact details and confirm who can act for the founders. Include the proposed directors and initial guarantor-members. If a company or other organisation will be a member, provide its details and representative. Explain the guarantee amounts, voting rights and who can appoint directors, so we can identify any people with significant control (PSCs).

Addresses, Memorandum and Articles of Association

Have an appropriate registered office in the chosen jurisdiction and a registered email address ready. Keep individuals’ actual home addresses separate from public service addresses. You may use your own suitable registered office or select a Coddan address service. Explain any specific objects, membership classes or voting provisions needed in the articles. Tell us about charitable purposes; incorporation, charity registration and HMRC recognition are separate matters.

Existing Personal Codes and required checks

Tell us about existing Companies House Personal Codes and provide the relevant director and control details. Coddan helps coordinate the required steps with formation. See the verification process and available routes.

What happens after your order

Coddan reviews your information, resolves questions and obtains the necessary approvals before submission. After incorporation, we supply the agreed documents and help with relevant next steps. Choose useful documents and records. A written service agreement is available.

Some order fields help us administer your service and customer checks. Review the costs and service periods before payment; ask your manager about anything unclear.

For the individual verification requirements, read our CLG director and PSC identity-verification guidance. Being a guarantor alone does not mean you need Companies House identity verification. Keep your Personal Code secure and supply it as directed when it is needed for your application.

Choose how your company’s articles are prepared

  • Suitable established Coddan articles: an appropriate existing version can serve a straightforward CLG.
  • Your purposes or objects: describe what the company will do for inclusion in Coddan’s suitable version.
  • Prepared articles: bring your own or your adviser’s documents using the confirmed supply route.
  • Particular rules: explain membership, voting or director-appointment needs; we identify and price further drafting where needed.

You describe the organisation; Coddan helps identify suitable preparation. The memorandum uses its prescribed form; purposes and governance rules belong in the articles. Read about company objects and articles.

Three preparation routes: how much time to allow

From our normal workflow, these are the times to allow for gathering your details and preparing the documents before we submit the incorporation application.

  1. Suitable established articles — typically 1–2 hours. Gather the name, directors’ and guarantor-members’ details, addresses and control information, and provide your objectives for the articles.
  2. Your own documents — typically 2–3 hours. Gather your formation details and supply prepared articles through an order form offering uploads. If your chosen form has no upload field, email your articles to info@coddan.co.uk before ordering so we can confirm the supply route and work.
  3. Tailored articles — typically several days. Explain the membership, voting, objects and board arrangements you need. Allow time for drafting, discussion and your approval.

The memorandum uses a prescribed format to record the initial members’ agreement to form the company. Your objectives and rules for running it belong in the articles. Once your information is ready, a straightforward online order usually takes around 5–10 minutes. Our expert then checks the application before submission. See incorporation turnaround.

CLG Formation Order Form Offline Preparation & Review Professional Preparation & Review

Set up your UK guarantee organisation around its intended purpose and people.

Explain your proposed activities, membership, voting and appointment arrangements, together with any particular articles requirements. Coddan helps clarify your instructions, identifies suitable preparation and prepares the agreed formation work for approval and submission. What Your Detailed Instructions Help Us Prepare

  • ✓
Your purposes and intended activities: Tell us what the organisation will do, who it will benefit and whether it will build on existing activities. We consider the formation work and any particular requirements.
  • ✓
People, authority and control: Identify the organiser, proposed directors, guarantor-members and relevant control arrangements. Director and PSC verification steps are separate from guarantor membership; Companies House personal codes follow the separate secure process, not this form.
  • ✓
Membership, voting and suitable articles: Describe who may join, voting and appointment rights, and any request to omit “Limited”. Supply existing articles or explain what you need; Coddan helps identify suitable preparation and any further drafting to be agreed.
  • ✓
Selected services, documents and approvals: Record your formation package, requested services, supporting documents and approval arrangements so Coddan can confirm the work and charges before proceeding.

Detailed instructions, professionally prepared: Coddan reviews the information, clarifies outstanding points, prepares and checks the agreed application, obtains the required approvals and handles the agreed submission to Companies House. Completing this form does not mean your application must be filed by post.

Not every organisation fits neatly into a one-size-fits-all structure — and yours shouldn’t have to. Coddan CPM Ltd’s bespoke limited by guarantee firm formation is built for non-profits, social enterprises, and sports clubs that need something more considered than a standard setup. Rather than relying on default model articles, this advanced formation package lets you define custom voting rights, membership tiers, asset locks, and specialised governance rules from the ground up. Whether you’re pursuing charitable aims or operating under unique rules, this tailor-made limited by guarantee company setup ensures your structure reflects your organisation’s actual purpose — not just a generic template for those who mean business about doing good.

Choose a registered office for official company correspondence, a single alternative inspection location (SAIL) for agreed company records, or both. The form captures your address requirements, mail-handling preferences, records arrangements and any separately requested filing work.

Use it for a proposed CLG being formed separately or an existing CLG, without ordering incorporation from Coddan. Your personal manager helps confirm suitable arrangements and the accepted service scope.

Download the CLG Address Services Order Form (Word)

Ask your Coddan contact, or email info@coddan.co.uk, for return instructions. Return only non-confidential information by the agreed method; arrange confidential answers and records separately.

Keep identity documents, confidential codes, passwords and payment-card details out of these forms and ordinary email attachments. Coddan confirms the selected work and next steps under the relevant service terms.

Understand your formation price before ordering

For the England and Wales formation services displayed on this page, the four published formation prices are £119.99, £159.99, £199.99 and £299.99, each plus VAT. The £100 Companies House incorporation fee is included in each formation price; it is not a further £100 to add to that package. Choose your package, then check any separate services, VAT and the final order total before paying.

Low-Cost Company Limited by Guarantee Formation

Simple limited by guarantee or nonprofit organisation formation means using a clear, supported route to establish the appropriate organisation. For a suitable CLG, founders provide their purposes, participant details and approvals; Coddan clarifies the requirements, prepares and reviews suitable documents, and handles the agreed submission. Straightforward formations may use suitable established articles, with personal-manager assistance. “Simple” describes the service experience, not a separate legal structure or fewer legal requirements. Other nonprofit structures follow their own setup rules.

You receive the documents included in your chosen service.

The entry package can suit a straightforward CLG using your own appropriate registered office. Choose extra address, document or administration services when you need them. Particular membership rules, director arrangements or charitable provisions may need additional drafting, which we discuss and price with you first. This helps you pay for the work your organisation needs while keeping the required checks and preparation in place.

Private Limited by Guarantee Company Formation and identity verification

The core formation service includes preparation and submission of the incorporation application, professional review and its digital formation documents. Identity-verification guidance is different from purchasing Coddan’s identity-verification service. If you choose Coddan’s verification service, check the number of people, per-person charge and VAT in your order. Faster handling is optional. Someone with a usable Personal Code does not need another verification merely to form this company, although we may still need information for our separate customer checks.

Company Limited by Guarantee Packages With a Registered Office

You can use your own appropriate registered office with the core formation service. The address-inclusive order forms provide the default London EC3 registered office for the first year, with a published £45 plus VAT annual renewal for that address. Choosing another location can change the price. Director service-address arrangements and continuing secretarial support depend on the selected package and agreed service period. Confirm the period covered and the later charges before ordering.

Extra documents and particular work

Choose printed documents, certification, notarisation, apostille, address or priority services if you need them, and check whether your package already includes them. These services can carry separate charges. Check the price if you select a non-standard guarantee amount. Tell us about unusual membership rules, tailored articles or missing information so we can explain any additional work and agree its cost. You can choose your verification provider and whether to pay for faster handling.

Guarantee company formation with secretarial support

Formation creates your company. Address services, annual filings, accounts and tax work have their own service periods and deadlines. Check the continuing support included in your package and the charges for later renewals or separately ordered work. The included incorporation fee covers registration; later official filing fees are separate unless included in the service you choose.

Compare the documents, address location, service period and support included in each package. Ask us if you want accounts, tax work or company changes handled alongside secretarial support, so we can confirm the services and total price.

Build on the right legal foundation from day one
Choosing the right company structure starts with understanding what your organisation is intended to do. A Company Limited by Guarantee (CLG) may suit an organisation that needs a separate legal identity, a membership-based governance structure and limited liability for its members. Understanding the implications for directors, members and decision-making before incorporation helps you establish the company on an informed basis.

Compare formation packages with clarity, not confusion
Your formation requirements depend on the organisation you are establishing and the support you need at the outset. Four clearly presented packages let you compare the available services, from core incorporation to registered office arrangements, director service address support and continuing company assistance. Choose the level that matches your current requirements, with additional services considered separately where needed.

Establish credibility through a clear legal and governance framework
Incorporation gives a CLG its own legal identity and provides a formal framework for its governance. This can help the organisation demonstrate how it is structured and managed when dealing with members, partners and other stakeholders. Funding, grant eligibility and charitable status depend on additional criteria, so incorporation should be treated as a foundation rather than a guarantee of external support.

Arrange addresses and practical support that suit your organisation
Registered office and director service address arrangements can help you manage company correspondence and, where the relevant service is used, keep a director’s residential address separate from their public service address. Choosing appropriate arrangements at formation can make company administration more straightforward and provide access to practical support from the outset.

Create a structure that can continue as people change
A CLG is a separate legal entity, distinct from the individuals who establish or manage it. Its membership arrangements, articles of association and governance procedures help determine how decisions are made and how the organisation continues when directors or members change. Consider these arrangements carefully so that the company’s structure reflects its purpose and intended future.

Check the formation price, selected services and later service periods together.
Item What to check
Formation package £119.99, £159.99, £199.99 or £299.99, each plus VAT. The £100 Companies House incorporation fee is included; do not add it a second time.
Coddan identity verification Coddan’s verification service has a separate per-person charge. Check the number of people and VAT. Someone with a usable Personal Code does not need another paid verification merely to form this company.
Registered office Use your own appropriate address with the core package, or choose an address-inclusive package or separate address service. The address-inclusive order provides London EC3 for its first year, with a published £45 plus VAT annual renewal.
West End upgrade The first-year West End upgrade adds £35 plus VAT to the address-inclusive package. Check the order total before paying; later address renewal is charged separately.
Selected extras Check printed documents, certification, notarisation, apostille and priority handling only where needed. Do not purchase an item again if your package already includes it.
Later administration Check the service periods and deadlines for address renewals, accounts, confirmation statements and other work. Later professional and official fees are separate unless included in your chosen service.
Particular work Ask us to explain and price tailored drafting or other additional work before you proceed. We can give you an itemised breakdown if the total or VAT is unclear.

Check the work, the period and the amount

Check your order total and ask us about anything unclear before paying. A written service agreement is available to set out the services, responsibilities, service periods and charges.

Fast-Track CLG Formation Around 3–4 Working Hours After Submission Authorized ACSP Agent

Register Your Guarantee Organisation Quickly & Efficiently

Ready to establish your non-profit, association, or social enterprise? Register your organisation as a private company limited by guarantee through Coddan. Our team prepares and checks your formation information and suitable articles, obtains your authorised approval and submits the agreed application electronically through our Companies House API gateway. Companies House registers the company; Coddan supplies the documents covered by your chosen service, with normal personal-manager assistance throughout the formation instruction.

1

Express Incorporation

Based on our 20 years of experience, a ready ordinary application is normally registered in around 3–4 working hours after submission through our automated Companies House API gateway. Our team checks the details and obtains approval before submission. This is an estimate, not a guarantee: Companies House workflow and the actual structure can mean a longer wait, including applications to omit “Ltd”.

2

ACSP Identity Verification Support

As a registered ACSP, Coddan can provide separately selected identity-verification assistance. The individual completes supported Credas checks; Coddan reviews and confirms verification when satisfied. Companies House issues the personal code. Accepted existing verification and the free official route remain available; AML customer checks are separate.

3

Full Documentation Kit

Receive the initial electronic incorporation documents issued by Companies House under your selected formation service. Printed documents and specially drafted additional documents are optional extra services, prepared after we receive that initial set. Suitable articles and any provisions needed for incorporation are agreed before submission; member records and guarantee documents follow the selected or separately agreed scope.

4

Transparent Fixed Fee

Clear published package charges for the stated formation work. Check the incorporation fee, applicable VAT, documents and drafting included in your chosen package. Additional address, verification, printed-document, special-drafting and continuing services follow their stated or agreed charges.

Need Board Authorization or a Custom Quote Before Registering?

We accommodate non-profit board approval workflows. Speak directly with a corporate manager to review custom objects, multi-director structures, or offline invoice options. Electronic API submission, normal drafting, board-approval coordination, offline invoicing and personal-manager assistance are available across our formation packages; printed and specially drafted documents are extra services. The authorised participants retain the decisions and approvals needed for the formation.

Email your requirements to discuss suitable work and its price; an enquiry creates no obligation. Send identity documents and confidential codes only through the agreed secure process.

Register a Non-Profit Company Limited by Guarantee for Your Organisation

A company limited by guarantee can suit not-for-profit company registration for a club, association or community organisation. If you need particular membership rules, objects, documents or help with overseas founders, tell us before ordering so we can explain the preparation you need.

01

Charitable Companies, Sports Clubs and Community Organisations

Tell us whether you are forming a charity, club, association or other community organisation. Its purpose helps determine the articles and any separate registration needed.

To register a sports club as a company limited by guarantee or set up a community company, explain who can join and how decisions will be made. Read our non-charitable CLG formation guidance. If you need charitable company limited by guarantee formation, tell us before ordering so we can discuss the articles and separate charity registration. A community-purpose CLG is not automatically a Community Interest Company (CIC).

Explore purpose and object guidance →
02

Residents’ Management Company Formation and Property CLGs

Tell us what your organisation will do and who will be its members. Particular membership or property arrangements may need different articles or preparation.

For residents’ management company formation (RMC), explain the properties, proposed members and how membership and control should work. This helps determine whether a company limited by guarantee and the proposed articles suit the property arrangements. Explore our property and flats management company formation services. An RMC and a statutory right-to-manage company have different requirements, so discuss the appropriate service before ordering.

Discuss specialist CLG structures →
03

You are establishing the CLG from overseas

International applicants can establish UK companies. Choose England and Wales, Scotland or Northern Ireland and maintain an appropriate registered office in that jurisdiction. Directors do not generally have to live in the UK. Overseas residence, evidence, intended charitable status and document use may require additional consideration; a UK address does not guarantee banking eligibility, trading premises or tax residence.

Ask about international formation →
04

You need particular membership or director arrangements

Explain who can join, how members vote and how directors are appointed. If you need particular rules, discuss them with us before incorporation so the articles reflect your plans.

Can a company limited by guarantee be a subsidiary?

Yes. A UK company limited by guarantee can be a subsidiary of another company, even though it has no shares. The parent’s position comes from corporate membership and control rights, rather than holding share capital.

Under section 1159 of the Companies Act 2006, control can arise through a majority of voting rights, membership with the right to appoint or remove a majority of directors, or membership combined with an agreement giving sole control of majority voting rights. A parent acting as the sole member can establish a wholly-owned subsidiary relationship.

The articles should reflect the intended membership, voting and board arrangements. The guarantee structure alone does not prohibit distributions to members: the articles, company-law distribution rules and any charitable or asset-lock restrictions determine what is permitted. Company-law subsidiary status also does not automatically satisfy separate tax-group or investment-relief tests.

Tell Coddan about the proposed parent, the CLG’s purpose and who will control it before ordering. We can then prepare the application and articles for the structure you need.

Not Sure About Every Formation Detail?

You Don’t Have to Know Everything Before You Start

You may already know that you want to form a Company Limited by Guarantee (CLG) without knowing every Companies House requirement, formation document or practical step involved. That is a perfectly reasonable place to start.

Tell Us What You Want to Set Up

“I know I want to establish a CLG, but I’m not sure what I need to do first.”

Tell us what your organisation will do and share the information you have. We can explain the Companies House terms and steps as you go.

Coddan can help you understand the practical formation requirements relevant to your circumstances, including the information and documentation needed to establish the company. You can then choose the formation package that provides the level of support you require.

The founders and those authorised to act for them make the formation decisions. We help you prepare the information and paperwork to form the company.

How to Easily Set Up a Limited by Guarantee Enterprise With Coddan

From Your Plans to Your New Company

You may be forming a club, association, community body, residents’ organisation or another membership-based organisation. Coddan helps you establish whether a Company Limited by Guarantee is suitable, prepare the right information and choose the support your organisation needs before an application is submitted to Companies House.

Confirm Your Structure

Tell us who the nonprofit organisation serves and how its members and directors should make decisions. We help you consider a suitable structure before you approve the formation work.
We provide a clear understanding of the target audience and guarantors that the nonprofit organisation aims to serve. We also outline the decision-making processes members and directors should follow to ensure effective governance. Our team is here to help you evaluate and select an appropriate organisational structure that aligns with your mission and goals. This guidance is essential before you finalise the steps to form the organisation.

Tell Us About Your Company

Tell us about the activities, directors, members or guarantors, name, place of registration and registered office. Explain the company’s objects—what it will do—and how decisions will be made. Mention any charity, CIC, property, funding or regulatory requirements.

Check your proposed company name

The search checks availability on the Companies House register. It does not reserve the name. Check existing brands and trade marks, and tell us about sensitive words or any charity or CIC name approval you may need.

Prepare Formation Information

We collect and check your company and personal details, guarantee amounts, control information, articles and identity-verification information before preparing the application.
Before preparing your application, we conduct a thorough verification process that includes checking your nonprofit corporation details and personal information. This process involves confirming guarantee amounts, reviewing control information, examining relevant articles, and verifying your identity. This ensures all information is accurate and meets the required standards for a successful application.

Choose Your Package

Choose the support: Suitable established articles may work for a straightforward CLG. Particular objects, membership rules or director arrangements may need additional drafting. Choose any records, initial decisions or address support you need alongside formation.

Choose standard or same-day processing: Use standard processing, or ask us about the same-day service if you need urgent incorporation. We confirm whether your completed application is ready for that service.

Compare the package names, prices and inclusions above. We complete preparation before submitting your application for the chosen processing service.

Complete Registration and Incorporation

Coddan prepares, checks and submits your application. Companies House examines it and, if accepted, registers the company and issues the certificate of incorporation. That is when your CLG legally exists.

Manage Your CLG

Incorporation is the beginning of the company’s working life. Relevant next steps may include first company decisions, statutory and membership records, compliance with the articles, registered-office arrangements, accounting records and accounts, confirmation statements, tax responsibilities, changes to company information and any separate charity, CIC or regulatory work.

Electronic formation and practical online access

Electronic incorporation, professionally prepared

The customer supplies the proposed company information and authorised approvals; Coddan prepares suitable documents, reviews the application and submits it through Companies House-integrated software. Questions are addressed before submission so the application reflects the agreed organisation. Companies House decides whether to register it.

Useful electronic company documents

CLG questions explained

These points help you decide whether a CLG suits your organisation.

Members, not shareholdersA CLG has no share capital. Each member promises the stated guarantee amount towards winding-up costs and liabilities when it applies. £1 is common, but other guarantee amounts are possible.
Roles are differentOne person can be a member, director, trustee or employee in more than one role. Each role brings its own responsibilities.
A CLG is not automatically a charityBeing limited by guarantee does not by itself create charitable status or every restriction on income, assets or distributions. These depend on the purposes, articles, intended status and applicable rules.
Check any separate registrations you needYou may also need HMRC, charity-regulator or CIC registration. Tell us about overseas people or document use so we can explain any additional checks or arrangements.

Choose support that matches your organisation

Tell us if you need tailored articles, particular membership or board arrangements, charitable or CIC status, property-management provisions, overseas support or address services. We explain the work and price before you order. Compare the packages for the published formation options.

You can ask Coddan for help with:

  • initial CLG incorporation and Companies House submission;
  • applicable director and PSC identity-verification guidance and ACSP support;

  • residential-address suppression support where the statutory SR01 requirements are satisfied;
  • confirmation statements, statutory changes and continuing company-secretarial administration; and

Help when your CLG’s annual work becomes due

Choose a defined annual task or agree continuing support. These services follow their own scope and charges; they are not automatically supplied with every formation order.

Prepare and file your confirmation statement

Provide current company information, changes and the required confirmations. Coddan reviews the relevant details with the authorised contact, identifies points needing attention, prepares the statement and obtains approval before the agreed Companies House submission. Some changes require separate filings. Registered-email, lawful-activity and applicable director-verification requirements are addressed for the filing; PSC code submissions remain a separate task. This is a company-information filing, distinct from annual accounts.

Prepare annual accounts and agree the filing

Provide the financial records and year concerned. Coddan establishes the appropriate accounts service, prepares the agreed dormant or active-company accounts, obtains the directors’ required approval and handles the agreed submission. Already have accounts prepared by an accountant? Ask whether a filing-only instruction is suitable. Accounts preparation, filing existing accounts, Corporation Tax work and charity-regulator reporting have different scopes. The accepted instruction identifies the work and destinations covered.

Limited by Guarantee Incorporation & Identity Verification

How CLG Incorporation and Director Identity Verification Connect

Prepare your company details, articles and required identity verification first. Coddan then submits the application electronically. Your CLG legally exists once Companies House registers it and issues its certificate.

Have the required Personal Codes ready before submitting your incorporation application.

Enter your company information through Coddan’s online service; our team prepares and checks the electronic application before submission. You do not need to complete a separate paper IN01 for that route.

1

Prepare the CLG

Prepare the name, place of registration, registered office, articles, directors, members, guarantee amounts, activities and any PSCs.

2

Complete Applicable Identity Verification

Proposed individual directors must complete the applicable Companies House identity-verification process, and use the resulting Personal Code in the incorporation filing.

3

Submit the Incorporation Application

Coddan can prepare and submit the incorporation application electronically. Companies House independently reviews the application and decides whether to register the CLG.

Information normally required for successful CLG incorporation:

  • the proposed company name and UK jurisdiction of registration;
  • an appropriate registered office address and registered email address;
  • the particulars of each proposed director;
  • the particulars of the initial members or guarantors and their agreed guarantees;
  • the company’s statement of guarantee;
  • information about PSCs;
  • an appropriate SIC code describing the proposed activities;
  • the memorandum of association and appropriate articles of association; and
  • the required statements and confirmations supporting the incorporation application.

Additional evidence, consent or specially prepared provisions in the articles may be required where the proposed name, objects, regulated wording, charitable purpose, property-management function or governance arrangements fall outside a standard CLG formation.

Director identity verification: Each proposed individual director must complete the applicable Companies House identity-verification process, and the director’s Companies House Personal Code must be provided as part of the incorporation filing. Identity-verification responsibilities applying to a PSC remain legally separate, even where the same person is both a director and a PSC.

Verify directly with Companies House or separately order Coddan’s ACSP service. With Coddan, the individual being verified completes Credas checks, including a liveness selfie; our team reviews the evidence and manually submits confirmation through its ACSP account when satisfied. Companies House issues that individual’s Personal Code. Coddan’s AML customer checks establish the customer and authority to instruct and remain separate from this identity-verification process.

Your Personal Code and Company Registration Your Personal Code confirms identity verification; it does not register the company. Supply it for your director role in the incorporation application, and separately for a PSC role when required. We help you connect these steps with the company application.

Why Coddan

Why Choose Coddan as Your Company Limited by Guarantee Formation Agent?

Before you order a company limited by guarantee, you should be able to see what Coddan can do for you. We can help with straightforward non-charitable formation, consider more particular requirements and explain which separate company services you may use later. Tell us what you need if the listed packages do not describe your proposed company or your preferred combination of services.

Your personal manager: Once we accept your order, you have a personal manager you can contact directly by phone or email during working hours. Your manager helps with questions, information requests, approvals and next steps. You can discuss formation, addresses, records, documents, accounts and secretarial support together and choose the combination you need. A written service agreement is available for formation and separately ordered services, including registered office, SAIL and secretarial support. It sets out the work, responsibilities, service period and charges shown in your order.

2005

Quality preparation for your organisation

Coddan’s formation experience since 2005 helps us clarify purposes, membership, voting and director arrangements. We prepare suitable articles and application information for the organisation you intend to establish, with help when a detail is unclear.

CLG

Quality review, documents and completion

Our team reviews the application, resolves questions and obtains the necessary approvals before submission. We supply the agreed company documents and explain relevant next actions. Choose digital, printed or combined materials according to the service and your organisation’s needs.

Later

Return for help when your CLG needs it

After incorporation you can ask Coddan about confirmation statements, changes to directors and members, addresses, company records or documents needed for a particular purpose. We can explain the available service and any separate fee before you order. You do not need to select those services during formation.

10+ years

Long-term client relationships

Some clients have used Coddan for more than ten years, returning for different services as their organisations develop. You can ask for further help when you need it.

What Coddan can help you with

Start With the Company You Want to Create.

Whether your CLG is straightforward or needs particular articles or arrangements, we explain what details to prepare and which formation support suits your plans.

If you need particular articles or specialist help, discuss that with us. A higher-priced standard package may not include the particular work you need.

Practical Experience to Help You Choose. Ask us how the formation service will meet your organisation’s needs. We can explain the preparation, documents and support before you order.

As your formation agent, Coddan prepares and submits your approved company application. As an HMRC-supervised Trust or Company Service Provider (TCSP), we carry out customer checks. As a Companies House-registered ACSP, we can verify identity: the individual completes the checks, we review the evidence and manually submit confirmation when satisfied, and Companies House issues that individual’s Personal Code. Your directors and members make the company’s decisions.

Beyond Formation

Form Your Company Limited by Guarantee First

Forming a Company Limited by Guarantee (CLG) establishes the company. See what to plan for in your CLG’s first year. What happens afterwards will depend on how the organisation operates and whether its circumstances change. You do not need to arrange every possible future requirement when you incorporate.

Start with what your organisation needs now. Some Company Limited by Guarantee structures may require little additional support after incorporation. Others may later need a filing, an administrative change, specialist guidance or assistance with another company matter. You can ask us for help when a new requirement arises.

01 · Formation

Establish the company

Choose the formation service that suits your organisation’s purpose, members and current needs.

02 · Company changes

Deal with changes when they happen

Changes involving directors, guarantors, company details or other statutory information may create further administrative or Companies House requirements. These can be addressed when the relevant change occurs.

03 · Administration

Keep the company properly administered

Keep your membership records, company details and required filings up to date. Ask for help with the tasks you want Coddan to handle.

04 · Specialist support

Address a particular requirement

Tell us if a new activity, membership rule, director arrangement or property matter needs particular attention.

05 · Problems

Something has gone wrong?

Tell us about a missed filing, Companies House query or other problem. We can help you understand what needs correcting and which service can help.

06 · Eventually, if required

When the company is no longer required

If you no longer need the company, ask about the appropriate steps to close it and apply for dissolution.

You can arrange further help when your company needs it.

Choose whether a CLG suits your organisation and which formation support you need now. You can arrange further services as your company’s needs change.

Choose Your Formation Support Now. Add Further Help When Needed. Choose the support that is appropriate for establishing your Company Limited by Guarantee now. Further requirements can be considered later if your company actually needs them.

From your certificate to a working organisation

Your CLG’s first year: from incorporation to a working organisation

Your certificate confirms that the company exists. In its first year, follow the articles, record initial decisions, establish the register of members and keep financial records. Agree who can approve spending and act for the company. The arrangements will depend on whether it is a small non-charitable CLG, membership organisation, property company or intended charity.

After incorporation, use the supplied documents to establish the company’s working records and initial decisions. Your manager can explain the agreed documents and relevant remaining actions. Return to the formation offer if you are still choosing your service.

Company documents you can use

Keep your incorporation certificate, prescribed memorandum and articles together. These record the company’s existence, initial members and governing rules. Coddan can also prepare agreed initial minutes, a register of members and guarantor membership documents that reflect the company’s actual decisions and arrangements.

Choose digital, professionally prepared printed or combined materials according to the service and how the organisation will use them. The package or separately agreed instruction identifies what is supplied. If a bank, funder or overseas recipient requests certification, notarisation or an apostille, tell us the document and destination. See document-service prices and options.

01 · At incorporation

Confirm Members, Control and Identity Codes

A CLG has members or guarantors rather than shareholders or share capital. Each undertakes the stated guarantee amount if the company is wound up in the circumstances covered by the guarantee. The application contains a statement of guarantee. Articles can define voting and membership rights; more than 25% of voting rights may make a guarantor a PSC, and other control tests also apply.

Proposed individual directors must verify their identity and provide a Companies House personal code for incorporation. A new individual PSC has a separate code-submission obligation, normally within their 14-day period after registration. Where one person holds both roles, the verified identity must be connected to each role separately. Ask about the identity-verification assistance included or separately available.

02 · Put the company to work

Keep Membership Records and Contact Details Current

Keep and maintain the legal register of members at the registered office or a single alternative inspection location (SAIL), where it must be available for inspection. Since 18 November 2025, separate local statutory registers of directors, their residential addresses, secretaries and PSCs are no longer required. The company must still give Companies House the relevant officer and PSC information and keep it up to date. Apply the articles, record decisions and keep financial records; these practical records serve different purposes from the public filings.

The registered office must remain an appropriate address where delivered documents normally reach someone acting for the company and delivery can be acknowledged. Its registered email must also reach someone acting for it. Where a client chooses Coddan’s registered office service, you can obtain a service agreement and a Coddan certificate confirming the registered office address. That address certificate is different from your Companies House certificate of incorporation.

03 · As activity changes

Keep control and tax in view

Review PSCs as voting or other control arrangements change. The company normally reports a confirmed change to PSC information within 14 days; this company reporting deadline is different from the individual’s identity-code period. Keep addresses and other reportable details current through the relevant filing routes.

Tax follows actual activity. If the CLG becomes active and falls within the charge to Corporation Tax, tell HMRC within three months of the start of its tax accounting period. A company that is not yet active has a different position. Keep records from day one so that accounts preparation reflects what the organisation actually did.

04 · Prepare the annual filings

Know Your First Filing Deadlines

The first confirmation-statement review period normally ends 12 months after incorporation; filing is due within the next 14 days, even if nothing changed. The company must confirm that its intended future activities are lawful. Coddan can handle an agreed confirmation-statement filing.

A private company’s first Companies House accounts are generally due 21 months after incorporation, even though its first accounting reference date is usually the last day of the month of its first anniversary. Financial records and accounts preparation start earlier. The first Corporation Tax accounting period can follow a different clock and cannot exceed 12 months.

What happens in the next year?

The extended first-accounts filing period gives way to a repeatable cycle: annual confirmation statements, subsequent private-company accounts normally due nine months after the accounting reference date, and tax obligations where the CLG is active. Changes may need reporting between annual filings. Follow your CLG’s second-year and continuing duties to see the recurring work and relevant secretarial support.

Post-Formation Guidance ECCTA & HMRC Compliance Non-Profit Governance Roadmap

Post-Incorporation Compliance & Statutory Maintenance Roadmap

Registering your Company Limited by Guarantee or non-profit is only the first step. Coddan can help you arrange the identity, company-record, tax and annual-filing work relevant to your organisation. Some preparation comes before incorporation; later duties follow their own dates and triggers. Choose the support you need, with your personal manager to help you understand the next step.

Stage 01 Before Incorporation & Role Linkage

Mandatory ECCTA Director & PSC ID Verification

Individual directors and PSCs must meet their Companies House identity-verification requirements. Proposed individual directors provide their Companies House personal codes for incorporation; a new individual PSC supplies the code when added or within the applicable 14-day period. Companies House issues the personal code after verification. A person holding both roles uses the same code separately for each role.

  • Free GOV.UK One Login verification or an ACSP service; accepted existing verification need not be repeated.
  • Supply the personal code for the relevant director and PSC role actions; AML customer checks remain separate.
  • Coddan provides ACSP verification where separately selected: the individual completes supported Credas checks, Coddan reviews and submits confirmation when satisfied, and Companies House issues the code.

Being solely a guarantor-member does not require Companies House verification; ask your manager which steps remain for each person.

Stage 02 Governance Enactment

Company Articles, Records & Governance

Approve suitable articles before incorporation, then use them to run the company and record its decisions. Coddan can prepare agreed purposes and provisions for your organisation, including non-distribution or asset restrictions where appropriate. A standard non-charitable CLG does not automatically need the CIC statutory asset lock, and funders set their own conditions.

  • Preparation of the register of members and guarantee certificates where included or separately instructed.
  • Company purposes and any bespoke provisions agreed for your mission.
  • Agreed first board minutes and resolution documents reflecting the company’s decisions.
Stage 03 Tax Authority Notice

HMRC Tax Registration & Charitable Recognition

A CLG’s tax position follows its actual activities. If it becomes active and falls within the charge to Corporation Tax, notify HMRC within three months of the start of its tax accounting period. Dormancy and charitable recognition follow different routes; non-profit or public-benefit aims alone do not create tax exemption. Ask Coddan about the relevant registration or separately agreed tax work.

  • Corporation Tax registration and account-access arrangements where applicable.
  • Dormancy notification or charitable-recognition work where applicable and agreed.
  • PAYE and VAT registration assistance where required and separately agreed.
Stage 04 Ongoing Secretarial

Annual Confirmation Statements & Statutory Accounts

CLGs normally file confirmation statements and annual accounts with Companies House, including when dormant. Coddan can prepare and submit the agreed filings with the required customer or director approvals. HMRC and charity-regulator work have separate scope and deadlines; missed filings can lead to enforcement and possible strike-off.

  • Annual Confirmation Statement filing management
  • Dormant or active CLG accounts preparation, with the filing scope agreed separately.
  • Registered office & director service address maintenance

Worried About Post-Incorporation Compliance as a Volunteer Director or Trustee?

Coddan offers professional help with the post-incorporation services your organisation selects. From separately instructed ACSP verification to company records and annual filings, your personal manager helps clarify the information, approvals and next steps. Formation includes normal manager assistance; continuing accounts, tax, drafting and secretarial work follow the selected package or a separate agreed instruction. Directors remain responsible for company decisions and approvals.

Choose the formation package first; any additional post-incorporation work must be included in that package or separately agreed.

UK & International Clients

Form Your CLG From the UK or Overseas

You do not need to be based in the UK to establish a Company Limited by Guarantee (CLG) . What matters is understanding the organisation you are establishing, the people involved and the information that needs to be submitted correctly.

Based in the UK

Prepare Your Company Details.

If the people involved in your proposed CLG are based in the UK, you may be able to proceed directly once the company’s purpose, directors, members or guarantors and other formation details have been established. The important step is making sure the structure and information are correct before incorporation.

Based outside the UK

Form Your UK CLG Remotely.

We can work remotely with overseas applicants. Tell us where the directors and members live so we can explain the details and identity evidence needed for the application.

Practical Formation Support

Formation involves more than completing a form.

If your directors or members live overseas, we help them prepare their details and complete the required checks before submission.

Identity verification

Get the identity step right

Understand the identity-verification requirements that apply to the people involved in the formation, particularly where an overseas applicant is involved.

PSC position

Identify Who Has Significant Control

A CLG has members rather than shareholders. Tell us about voting rights, director-appointment powers and other control so we can identify any PSCs.

Companies House

Obtain and Supply Personal Codes

We can help coordinate required identity verification and Personal Codes with your formation application.

CLG Formation: Frequently Asked Questions

1. Can we use a CLG to put our existing club or association on a company footing?

Yes. You can form a CLG for the organisation, with articles reflecting its purpose and membership arrangements. Creating the company and moving the existing organisation into it are separate jobs. Check the existing constitution and obtain the necessary approvals before transferring activities. Tell Coddan about the existing organisation when you enquire, particularly if it holds funds, property, contracts or charitable assets.

2. Can we form the company before we have recruited all our future members?

Yes. Choose the initial guarantor-members and make sure the articles provide a workable admission process for later members. You do not need to list everyone who might join in future on the incorporation application. Decide who may approve applications, what rights new members receive and how membership is recorded. This gives the company a practical starting structure that can grow with the organisation.

3. Does everyone who attends our club or uses our services have to become a guarantor?

No. Someone can attend your club or use its services without becoming a legal member of the company. Make the difference clear in the articles and joining information, especially if you use “member” informally for club users. Legal guarantor-members have company membership rights and promise the stated guarantee amount if the company is wound up in the circumstances covered by that guarantee.

4. Who should place the order and pay when the company does not exist yet?

A person or an existing organisation should place the order and confirm who can act for the founders. The proposed CLG cannot enter a contract before it exists. Agree who will pay the formation cost and keep the invoice and payment record. If the company later reimburses a founder, approve and record that payment after incorporation. Reimbursement does not automatically transfer the original contract to the company.

5. What if the founders have not agreed the membership or voting arrangements?

Agree those points before approving the articles. Tell us what remains undecided: who can join, who appoints directors, how votes work or what happens if people leave. We can explain which provisions need attention and discuss drafting them. The founders decide the arrangements. If you disagree about important rights or responsibilities, independent legal advice may help before formation.

6. I have noticed a mistake in the details I supplied. What should I do?

Contact Coddan promptly and identify the incorrect detail and its replacement. If the application has not been submitted, we can address the correction during preparation and obtain any needed approval. If it has already gone to Companies House, tell your manager immediately so we can establish its status and the appropriate next step. Avoid placing a second order or submitting a competing application while the first is being checked.

7. What happens if Companies House raises a question about our application?

Your manager explains the question and helps you provide the information or correction needed. This may concern the name, a personal detail or a provision in the articles. Keep your contact person available while the application is being processed. If additional drafting or specialist work is needed, we explain the work and price before you proceed.

8. Will incorporation automatically move our existing funds, assets and contracts into the CLG?

No. The certificate creates the new company; it does not transfer an existing organisation’s assets or agreements. Prepare a list of what must move and who currently holds it. Contracts may need the other party’s agreement, and property or restricted funds may need a particular transfer process. Arrange the necessary approvals and records so the company’s opening position is clear. Take specialist advice where property, charitable restrictions or significant liabilities are involved.

9. Can we use suitable established articles now and amend them as the organisation develops?

Yes. Members can generally change the articles by a special resolution—a formal member decision—and file the resolution and amended articles at Companies House. Particular provisions or charitable companies may need additional approvals. Start with articles that meet your present membership and control needs. Later amendments are a separate service from forming the company.

10. We have a launch or funding deadline. When should we start the formation?

Work backwards from the date you need the company to exist. Allow for your chosen preparation route, identity verification, approvals and incorporation, as well as any bank or funder checks needed afterwards. Tell Coddan the deadline before ordering so we can coordinate the preparation and discuss the appropriate processing service. A funder may require more than a certificate, so check its requirements early.

11. What should we prepare for a bank-account application after incorporation?

Keep the certificate, articles, company number and details of the people managing and controlling the CLG ready. Be able to explain its activities, expected income and where funds will come from. Each bank sets its own eligibility and evidence requirements, so check the chosen provider’s requirements directly. Arrange banking early if you need to receive subscriptions, donations or grant funds soon after formation.

12. Can a director or guarantor also be paid for work carried out for the CLG?

Yes, where the company’s articles and applicable rules permit it. Payment for genuine work is different from distributing a surplus to members. Agree the role, approval process and payment terms, manage conflicts of interest and keep records. Charitable CLGs have additional restrictions on trustee benefits. Check any payroll obligations before paying someone; being a guarantor does not by itself decide how their work should be paid or taxed.
