Select the address by legal function and LLP jurisdiction—not merely by city. Coddan provides annual registered-office subscriptions from £49 + VAT, individual-member service addresses from £39 + VAT per member, and supported records-location services from £49 + VAT.

The LLP’s registered office, a member’s public service address and a SAIL perform different jobs. This page explains those differences before presenting the available locations and annual charges.

Commercial position: all prices on this page are annual Coddan fees plus VAT. There is no Companies House fee for the address subscription itself. A Companies House address or records filing is a separate legal step owned by the Change LLP addresses and records change-filing route.

The LLP’s official public address

Every LLP must continuously maintain an appropriate registered office

The registered office is the LLP’s address on the Companies House register and the formal destination for official correspondence. It must be a physical address in the part of the United Kingdom in which the LLP is registered.

A physical, appropriate address

A Royal Mail PO Box or equivalent service cannot be used as the registered office. Documents delivered by hand or post must ordinarily be expected to come to the attention of a person acting for the LLP, and delivery must be capable of acknowledgement.

Visible on the public register

The registered-office address is public. A Coddan subscription provides the accepted address function; it does not make the address private or retrospectively remove a former address from Companies House records.

Continuous legal function

The LLP must keep a compliant address throughout its life. Purchasing, renewing or ending a private address subscription does not by itself alter the address recorded at Companies House.

Match the location to the LLP’s registration

The correct city begins with the correct jurisdiction

An attractive address in the wrong jurisdiction cannot serve as the LLP’s registered office. Coddan therefore checks the LLP’s registered jurisdiction before accepting the subscription.

England and Wales LLP

May use an eligible address in England or Wales. Coddan’s approved English routes are Aldershot, London, Birmingham and Manchester.

Wales-only LLP

Must use an address in Wales. Coddan does not presently offer an approved Welsh registered-office package, so this requirement is referred or declined.

Scottish LLP

Must use an address in Scotland. The approved Coddan route is the Edinburgh LLP registered-office service.

Northern Irish LLP

Must use an address in Northern Ireland. The approved Coddan route is the Belfast LLP registered-office service.

Different partnership structure: an ordinary limited partnership or Scottish limited partnership uses the current principal-place-of-business framework, not this LLP registered-office product. Those services remain with their specialist LP and SLP owners.

Registered office and member service address: two public addresses, two different functions

The same supported Coddan location may sometimes be accepted for both purposes, but each function must be selected, recorded and paid for separately. One registered-office subscription does not cover an unlimited number of members.

A corporate member has a separate corporate-particulars filing route. This page does not sell the individual-member service-address product as a substitute for the registered or principal office particulars required for a body corporate.

Inspection location and record-control route

A SAIL is optional—and it is not another name for the registered office

A SAIL is a single alternative address, other than the registered office, at which an LLP may keep eligible records available for inspection. An LLP does not have to use one. The service is accepted only where the selected Coddan location can lawfully and operationally support the relevant records.

Define the record function

The instruction must identify which eligible LLP records will be made available, the inspection obligation and whether any separately agreed storage function is required.

Confirm the supported location

Not every Coddan address offers records inspection. The £49 + VAT annual route proceeds only after the selected location and record set are confirmed.

Complete the separate filings

Companies House maintains LLP forms to notify a SAIL and to move records to it or return them to the registered office. Those filings belong to Change LLP addresses and records and are not created merely by paying for Registered office, service addresses and LLP records.

Royal Mail, couriers, authorities and other senders control their own delivery. Coddan’s service coordinates receipt and the agreed onward treatment; it cannot guarantee third-party delivery or automatic redirection.

What Coddan checks before activating an address service

The address must match the LLP, its jurisdiction, its intended use and the services the selected location can actually provide. Conditional online selection therefore leads to an acceptance check rather than automatic activation.

Pause, restriction or refusal

A request to claim a false business presence, substance or activity at the address will not be accepted.

Subscription and filing are separate steps

A new Coddan address does not update the public register by itself

A forming LLP can select an accepted address for its incorporation instruction. An existing LLP must separately notify Companies House when its registered office, a member’s particulars, a SAIL or the location of records changes.

Purchase and acceptance of the address service establish the private service relationship. The prescribed Companies House filing must then be completed through the proper Change LLP addresses and records route.

Member particulars

Changing an individual member’s service or residential particulars is a filing event. The service-address subscription neither replaces that filing nor replaces any required residential-address or identity-verification information.

Renewal, ending the service and registering a replacement address

The annual subscription continues only through an accepted renewal. If the service is not renewed or is validly terminated, the LLP must provide and register a compliant replacement address and deal properly with any records location.

Affirmative annual renewal

The renewal invitation identifies the applicable annual charge and scope. Continued public display of the address is not acceptance of a new service year.

Replacement before closure

Coddan may require the appropriate replacement-address or records filing before, or as part of, termination. The LLP remains responsible for maintaining accurate public particulars.

Mail after termination

Any notification, holding, return or forwarding after termination is governed by the individual terms supplied before acceptance and applicable legal obligations. No unsupported retention period, deposit or forwarding promise is made here.

Companies House, HMRC, courts and other senders do not automatically redirect documents because a private address agreement has ended. The filing and communication steps must be managed deliberately.
