An LLP may change its name, but the new name does not take legal effect when the members approve it or when Coddan submits the filing. The registered change takes effect when Companies House issues the Certificate of Incorporation on Change of Name.

The LLP remains the same body corporate. Its registration number, filing history and existing obligations continue. The change does not create a newly incorporated LLP, discharge existing liabilities or automatically rewrite contracts and external records.

Internal decision

The members approve the proposed change through the decision process applicable to their LLP. This establishes internal authority but does not itself alter the public register.

The filing gives Companies House notice of the proposed registered name. It must use the correct particulars, authentication, route, evidence and fee.

Registered effect

Companies House examines the application. The new registered name and effective date are evidenced by the certificate it issues.

A proposed LLP name has several separate control points

A search of the Companies House index helps identify an identical registered name, but it does not reserve the proposed name, decide every “too like” issue, obtain approval for a sensitive expression or provide trade-mark clearance.

The LLP legislation permits an LLP to change its name. The internal authority to make that decision must be established from the members’ arrangements, including any procedure, voting threshold or reserved-decision provision in the LLP agreement.

This is not the private-company special-resolution route. Coddan does not import a company’s shareholder rules into an LLP or assume that every LLP uses the same threshold.
