Buy Now Ready to make it official?
LLP Registration — £89 + VAT is designed for two straightforward UK participants whose proposed name, jurisdiction, registered office, members, designated-member position and PSC facts are already settled. Coddan checks the accepted formation particulars, prepares and submits the software incorporation filing and supplies the filed incorporation record. The result is a registered LLP with a clear Companies House starting point. It is the shortest complete formation route when the organisation work is already arranged separately. You remain responsible for supplying complete information, approving the particulars and completing the required identity and KYC checks before submission.

The fixed £89 + VAT is Coddan’s professional fee. The Companies House fee is separate: £100 for standard software incorporation, £156 for an accepted same-day filing or £124 for a paper filing; paper work also requires a separately agreed Coddan fee. The price assumes two straightforward UK individual members. Each additional accepted UK individual member at formation is £35 + VAT and each accepted UK body-corporate member is £125 + VAT. This is a one-off service with no automatic renewal. It does not include an LLP agreement, initial governance set, address service, identity verification, accounts, tax work or the transfer of assets and contracts. Want the first internal records prepared too? Compare Registration & Initial Records. Overseas or layered cases should use international LLP formation. Companies House—not Coddan—decides whether the incorporation is accepted.

Buy Now Start organised, not merely registered.
Registration & Initial Records — £149 + VAT is for settled UK participants who want their new LLP formed with an organised opening record rather than an incorporation certificate alone. Coddan completes the accepted registration work and prepares the initial member and designated-member record, membership certificates where appropriate, first resolutions and opening compliance-date schedule. The result is a registered LLP with its first internal records brought together. It suits founders who want the opening decisions visible and usable from the beginning. You approve both the filing particulars and the factual starting record before Coddan completes the work.

The fixed £149 + VAT is Coddan’s professional fee. The separate Companies House fee is £100 for standard software incorporation, £156 for an accepted same-day filing or £124 for paper; paper work also requires a separately agreed Coddan fee. The price assumes two straightforward UK individual members. Each additional accepted UK individual member at formation is £35 + VAT and each accepted UK body-corporate member is £125 + VAT. This is a one-off service with no automatic renewal. The records evidence the accepted starting position; they do not replace a substantive LLP agreement, accounting or tax work, or transfer assets, contracts or rights. Need formation only? Compare LLP Registration. Need settled governance recorded? Compare Governance Setup. Continuing filing remains separately owned by LLP annual compliance. Companies House retains the incorporation decision.

Buy Now Put the working relationship into writing.
Governance Setup — £279 + VAT is for participants whose contributions, profit shares, management, voting and authority instructions are settled and fit Coddan’s approved standard LLP agreement scope. Coddan completes the formation and opening-record work, reviews the settled instructions and prepares the approved standard or adapted agreement with the initial governance documents and one structured clarification round. The result is a formed LLP with an agreed internal framework recorded from the outset. Every member must approve the instructions; unresolved negotiation or disputed rights cannot be placed into the standard route.

The fixed £279 + VAT is Coddan’s professional fee. The separate Companies House fee is £100 for standard software incorporation, £156 for an accepted same-day filing or £124 for paper; paper work also requires a separately agreed Coddan fee. The price assumes two straightforward UK individual members, with £35 + VAT for each additional accepted UK individual at formation and £125 + VAT for each accepted UK body-corporate member. This is a one-off service. It excludes active negotiation, disputes, bespoke exit or investment terms, legal opinions and separate assignments, licences, transfers or professional advice. Need records without an agreement? Compare Registration & Initial Records. Want support through the first confirmation statement? Compare First-Year Administration. Work outside the approved standard scope belongs to LLP agreements and governance. Formation acceptance remains with Companies House.

package

Buy Now Formation is day one—not the whole first year.
First-Year Administration — £449 + VAT is for accepted participants who want formation, opening records, suitable standard governance and a defined route through the first confirmation statement. Coddan completes the accepted Governance Setup work, establishes the first-year filing calendar and prepares and files the first confirmation statement within the agreed scope. The result is a registered and initially organised LLP supported through its first annual confirmation point. You must keep the information current, notify Coddan of relevant changes and approve the confirmation statement before filing.

The fixed £449 + VAT is Coddan’s professional fee. The Companies House incorporation fee is separate at £100 for standard software, £156 for an accepted same-day filing or £124 for paper; paper work also requires a separately agreed Coddan fee. The £50 digital confirmation-statement fee is also separate when due. The formation price assumes two straightforward UK individual members; the approved £35 + VAT individual-member and £125 + VAT UK body-corporate-member supplements apply at formation. The defined service ends with the first confirmation statement. Any later renewal requires affirmative acceptance; there is no automatic or indefinite renewal. Annual accounts, tax filings, bookkeeping and complex changes remain separate. Need governance without first-year administration? Compare Governance Setup. Review LLP annual accounts and continuing LLP compliance. Companies House decides whether each filing is accepted.

UK LLP formation and organisation

Form a UK Limited Liability Partnership

Register an LLP in England and Wales, Scotland or Northern Ireland—and choose how far Coddan should carry the work beyond the Companies House incorporation filing.

Coddan has submitted UK formation work through commercial software since 2005. The service is available for a standard two-member LLP, an organised initial-records route, a governance setup or a first-year administration route. Every application remains subject to complete information, identity and anti-money-laundering checks, payment and Coddan’s acceptance.

Professional fees: from £89 + VAT. Companies House fee: £100 for standard software incorporation or £156 for the official same-day service, shown separately. The standard packages assume up to two straightforward UK individual members and an ordinary ownership and control position.

This is the formation route when the LLP decision is substantially settled

Use this page where the participants have already recognised that they want an LLP rather than an ordinary limited partnership, Scottish limited partnership or private company, and the proposed structure is ready to be translated into an incorporation instruction.

The standard UK LLP formation route

  • up to two UK individual members;
  • a straightforward ownership and PSC position;
  • a registered office in the chosen UK jurisdiction;
  • an ordinary lawful business carried on with a view to profit; and
  • complete identity, authority and filing information.

Assessment or another owner is needed

Overseas people, overseas bodies, layered ownership, trusts, nominee features, unusual control, regulated activity or enhanced due diligence move to the appropriate assessment, international or professional route.

Use the LLP formation route for non-UK and international members

If the instrument itself is not settled, first compare an LLP, ordinary LP and Scottish LP or compare an LLP with a private limited company.

Registration creates the LLP; organisation prepares it to operate

Companies House incorporation creates the LLP as a body corporate with legal personality separate from its members. The certificate confirms registration. It does not, by itself, settle the members’ complete working relationship.

An LLP has members rather than shareholders, designated members rather than directors, and an LLP agreement rather than articles of association. Its formation therefore needs to distinguish the public incorporation filing from the internal and continuing matters that sit around it.

The incorporation filing establishes

  • the registered LLP and its name;
  • its jurisdiction and registered office;
  • its first registered members and designated status;
  • its registrable PSC position; and
  • the certificate and filed incorporation particulars.

The filing does not automatically settle

  • profit, capital, voting, management and exit arrangements;
  • whether a standard, adapted or bespoke LLP agreement is suitable;
  • the first internal decisions and records;
  • accounts and tax administration; or
  • later confirmation statements, accounts and event-driven filings.

Coddan’s four formation levels let the you select the appropriate stopping point. They do not disguise every possible professional service inside one incorporation price.

What must be established before an LLP can be submitted

A standard incorporation requires more than a proposed name. Coddan needs sufficient information and authority to prepare the filing and complete its acceptance checks.

UK LLP formation information requirements
Formation matter What is required Important boundary
NameA proposed name ending in “Limited Liability Partnership” or “LLP”, subject to name controls and any required permission.Companies House registration does not confer trade-mark clearance.
JurisdictionEngland and Wales, Wales, Scotland or Northern Ireland, matched to the registered office.A Scottish or Northern Irish LLP needs a registered office in that jurisdiction.
MembersAt least two subscribers, with the required particulars for each individual or body corporate.The standard UK LLP formation price includes up to two straightforward UK individuals.
Designated membersAt least two designated members, or an instruction that all members will be designated.Designation carries additional statutory filing and administration responsibilities; it is not unlimited liability for every LLP debt.
Registered office and emailAn appropriate physical registered office and an appropriate registered email address.The registered office is public; the registered email is held privately by Companies House.
PSC positionThe registrable people with significant control or the applicable statutory statement.Complex or disputed control requires assessment or professional referral.
Identity and authorityCDD/KYC evidence, required Companies House personal codes and authority for Coddan to act and file.Identity verification is a separate service unless expressly ordered or included elsewhere.
Business purposeA lawful business carried on with a view to profit, together with sufficient activity and purpose information for Coddan’s acceptance controls.The current LL IN01 incorporation particulars do not make capital contributions or a SIC code ordinary incorporation fields.

What Coddan checks, prepares and connects around the filing

Commercial software is an efficient transmission route. Coddan’s formation service applies the approved administrative checks and connects matters that the filing alone does not resolve.

Filing preparation

Coddan checks the proposed name and jurisdiction, captures the registered office and email, prepares member and designated-member particulars, records the instructed PSC position and submits the accepted software application.

Role clarification

The application must identify the proposed members and designated status. Coddan records the your settled instruction and routes an unclear member, corporate-member or PSC position to the specialist assessment owner.

Organisation selected by package

The records, governance or first-year packages connect registration to the approved initial records, agreement route, compliance dates and first confirmation-statement service without implying that every LLP needs the same bundle.

Professional boundary

Coddan does not use the filing review as legal advice, individual tax advice or approval of the your commercial strategy. Agreement disputes, negotiated rights, complex tax conclusions, audit and regulated matters go to the appropriate professional.

Choose the professional outcome required from formation

The four levels share the same standard incorporation base. The difference is the point at which Coddan’s work ends: after registration, after an initial record set, after a completed governance setup, or after the first confirmation-statement service.

Formation level 1

LLP Registration

£89 + VAT

Apply for First-Year Administration

Ordering control: levels 1 and 2 may be selected online subject to eligibility and KYC. Levels 3 and 4 use a questionnaire and human acceptance because the governance instruction must fit the approved document scope. Submission of information is not automatic acceptance of an engagement.

From settled LLP instruction to registered and organised LLP

01

Select the formation outcome

Choose registration only, registration with initial records, governance setup or first-year administration.

02

Provide the structured information

Supply the name, jurisdiction, addresses, member particulars, designated status, PSC facts, business purpose and contact information.

03

Complete verification and acceptance

Coddan completes its CDD/KYC and risk-acceptance process and establishes whether identity codes, additional evidence, assessment or referral are required.

04

Review and authorise the filing

Coddan prepares the accepted application. The you resolves queries and gives the required authority and confirmations before submission.

05

Submit to Companies House

Coddan transmits the accepted software filing or coordinates an agreed paper route. Companies House controls examination, processing and registration.

06

Deliver and organise

After incorporation, Coddan supplies the package documents and connects the LLP to its agreed records, governance or first-year administration outcome.

Timing: Coddan’s standard operational target is submission within one Coddan working day after complete evidence, cleared payment, KYC acceptance and signed authority. Same-day filing is available only for an accepted, complete instruction received before Coddan’s published cut-off on a Companies House working day. Companies House’s own service deadline is not Coddan’s acceptance cut-off, and neither route guarantees registration or removes registrar queries.

Identity verification and PSC information are formation dependencies

Under the current Companies House framework, proposed individual LLP members must verify their identities and supply the required personal-code information for the incorporation route. PSCs have their own verification and personal-code duties. Companies House identifies verification for corporate LLP members as a later implementation stage.

Coddan CPM Limited is registered with Companies House as an ACSP and can provide identity verification within its approved process. The detailed evidence, liveness, review, personal-code and exception route remains owned by the specialist LLP identity-verification service.

Use Coddan’s LLP identity-verification route

The formation documents have different legal and organisational functions

Companies House issues the certificate of incorporation. Coddan supplies the filed particulars and, according to the package, may prepare the LLP’s initial records, decisions, member certificates and governance documents in digital or printed format.

  • Certificate of incorporation: official evidence that the LLP has been incorporated.
  • Filed incorporation particulars: the registered information forming the initial Companies House record.
  • Initial records and decisions: internal evidence of the first organisational position where included.
  • Member certificates: non-statutory evidence of recorded membership; they are not company share certificates.
  • LLP agreement: the private governance agreement among the members; it is not issued, filed or approved by Companies House.

A standard or completed agreement may be appropriate for some circumstances. Negotiated rights, bespoke provisions, disputes or enforceability opinions require a separately scoped document route or solicitor advice.

Compare the LLP agreement and governance routes

A defined route through the LLP formation administration

The your friction is not merely completing a form. It is knowing which facts belong in the filing, what the selected package will produce, what remains separate and what must happen next.

Guided information collection

Coddan’s online route groups the formation information into defined subjects instead of asking for an unstructured instruction. This makes the information-provision stage easier to follow and can make that bounded stage quicker when the facts and documents are ready.

Clear package stopping points

Each level states where Coddan’s included work ends and identifies official fees, recurring services and circumstance-dependent work separately. That makes the commercial route more straightforward without pretending that every LLP is legally simple.

Online safeguards

The online connection is protected through HTTPS/TLS encryption, commonly called SSL. Personal information is handled under Coddan’s published privacy policy and applicable UK data-protection requirements. These controls support the process; they are not a claim that every aspect of online security is risk-free.

External processing remains external

Coddan controls its collection, checking, preparation and submission stages. Companies House controls examination and registration; HMRC and other professionals control their own work and decisions. Efficient preparation is not a guarantee of external processing time or acceptance.

The capacities supporting Coddan’s LLP formation work

Formation agent since 2005

Coddan receives and checks accepted instructions, prepares the required LLP filing and submits through commercial software or an agreed paper route. “Formation agent” describes the work performed; it is not a claim of government endorsement.

HMRC-supervised TCSP

Coddan CPM Limited operates as a trust or company service provider supervised by HMRC for anti-money-laundering purposes. This supports Coddan’s CDD, KYC and acceptance controls; it does not mean HMRC approves an individual package or you.

Companies House-registered ACSP

Coddan CPM Limited is registered as an Authorised Corporate Service Provider and may verify identities and carry out authorised-agent work within its approved process. Registration is not Companies House endorsement and does not guarantee an incorporation outcome.

The LLP’s obligations continue after incorporation

Formation does not include every later service. The LLP must maintain its registered particulars and records, prepare annual accounts, submit confirmation statements, keep its identity and PSC position current, and report relevant changes.

Specialist owners being constructed:

  • LLP members, designated members, corporate members and PSCs
  • LLP agreements and governance
  • LLP registered office, member service addresses and records
  • Changes to members, designated status and PSC particulars

Current official position used for this service

The formation requirements and fees on this page were checked against the official position available on 22 September 2026. Coddan will recheck changeable official requirements before you rely on the service or submit a filing and submission.

Official guidance explains the filing requirements; it does not determine whether an LLP is the appropriate commercial or tax structure for a particular you. Legal and fact-specific tax conclusions require the appropriate professional adviser.

Proceed through the appropriate route

Form the LLP—and select the organisational outcome you actually need

Compare the four levels if the UK LLP, members and ordinary control position are settled. Use the international route where overseas or complex ownership facts change the acceptance and evidence work.

Companies House decides whether and when an application is registered. Coddan does not guarantee acceptance, registration or an external processing time.
