The correct route begins by establishing which event has occurred, or is intended. Describing all four as “closure” can leave debts, records, authority and filings unresolved.

Cessation

The business stops trading or carrying on its activity. This practical fact does not by itself prove dissolution or complete outstanding obligations.

Dissolution

The partnership relationship ends under the agreement, applicable law or court order. The date and legal basis must be supportable.

Winding up

The post-dissolution work of collecting and realising assets, settling obligations, completing records and distributing any lawful surplus.

Register status

The public Companies House record. Under current law, dissolution does not create a voluntary SLP strike-off application or automatically remove the historic entry.

Authority and the legal event

The general partners normally wind up, but Coddan must first see the basis for dissolution

Under the current Limited Partnerships Act 1907, general partners wind up the affairs following dissolution unless the court orders otherwise. Subject to the partnership agreement, a limited partner is not entitled to dissolve by notice. Death or bankruptcy of a limited partner does not itself dissolve the partnership.

Dissolution basis

Partnership agreement, expiry, agreed decision, operation of law or court order, with a reliable event and effective date.

Responsible people

Current general partners and authorised signatories are identified. Corporate or overseas authority evidence may need Scottish LPs with corporate or overseas partners review.

PFLP exception

A PFLP may have special rules where no general partner remains. Private fund limited partnerships covers PFLP status and the substantive route.

Disputed authority

Coddan does not decide contested partner rights, construe a disputed agreement or manufacture consent. A solicitor must resolve the issue.

Dissolution does not release a general or limited partner from an existing obligation merely because business has stopped or a public record has changed. The effect on liability, contribution return, guarantees and claims belongs to General and limited partner roles and the relevant legal or insolvency adviser.

Mandatory route division

A solvent administrative winding up is not an insolvency procedure

Solvent route

Available for assessment where liabilities and contingent claims can be identified and discharged, assets can be realised or distributed lawfully, authority is clear and no creditor-protection process is required.

Coddan coordinates administrative evidence, outstanding filing dependencies and a completion record. It does not act as liquidator or determine solvency.

Insolvency route

Pause the ordinary Close a Scottish limited partnership route if the SLP cannot pay debts, faces enforcement, has a deficiency of assets, needs creditor protection or may require sequestration, winding up or another formal process.

A licensed insolvency practitioner and, where needed, a Scottish solicitor must advise. The applicable route depends on the SLP and partner facts.

Uncertain position

Do not distribute assets or pay connected parties selectively while material liabilities, claims, guarantees, tax debts or ownership disputes remain unresolved.

Companies House, Gazette and current-law control

There is currently no statutory SLP voluntary strike-off application

Current Companies House detailed guidance states that the Limited Partnerships Act 1907 does not require a limited partnership to notify Companies House when it is dissolved. The current LP6 contains no dedicated dissolution field. Accordingly, Close a Scottish limited partnership does not promise register removal, a closure certificate or a statutory deregistration outcome.

LP6 closure route: pause pending evidence

An older GOV.UK summary still lists “closure” among LP6 changes. Because this conflicts with current detailed guidance and the present form, any voluntary administrative notice requires current registrar confirmation before quotation or submission.

Historic register remains

Dissolution does not erase the registration record. Public filing history is not proof that all assets, liabilities, contracts, taxes or winding-up steps were completed.

Future reforms not current

ECCTA contains future limited-partnership dissolution, confirmation and deregistration reforms, but Companies House schedules LP reforms no sooner than the end of 2026. Close a Scottish limited partnership does not apply uncommenced provisions.

Gazette publication is event-specific

There is no general current Companies House dissolution notice identified for a solvent SLP. Separate Gazette consequences may arise from partner-status changes or an assignment completed during closure, which Scottish LP changes and corrections covers. Public notice of dissolution or retirement may also affect third-party liability under partnership law; whether notice is required or advisable is a legal question. Coddan scopes any Edinburgh Gazette work separately and does not state that publication is the same as Companies House filing.

Compliance before and during closure

Outstanding filings do not disappear because the SLP has stopped business

Coddan checks the public register and correspondence to identify outstanding or inaccurate information. The appropriate owner then completes the required work before the closure outcome can be treated as administratively complete.

SLP CS01, confirmation-period status, annual PSC checkpoint and the compliance calendar remain Scottish LP continuing compliance work. Close a Scottish limited partnership does not mark an inaccurate register as confirmed.

Scottish LP changes and corrections changes and corrections

Partner, status, contribution, principal-place, PSC, RLE, ORP and register-correction events before or during winding up require their own route.

PSC and identity dependencies

Do not assume dissolution cures an overdue PSC filing or verification dependency. The current route is checked without importing uncommenced LP reform.

Rejected or inconsistent filings

A rejection, query or historic inconsistency is diagnosed first. A second filing does not erase the original record or cure defective authority.

Tax, accounts and record continuity

HMRC and accounting closure are separate from partnership dissolution

Partnership and partner returns

HMRC says the nominated partner reports closure on the final partnership tax return. Partners may also have their own final-period reporting and payment obligations.

VAT and PAYE

VAT cancellation, the final VAT return and asset adjustment are separate. An employer closes PAYE through the required final payroll submission and related employment steps.

Final and qualifying accounts

Final accounts support settlement and tax work. Where the Partnerships (Accounts) Regulations 2008 apply, the qualifying-partnership preparation, audit and publication duties require separate accounting review.

Record retention

Closure does not permit records to be discarded. Tax records normally have statutory retention periods—for example, partnership/self-assessment records and VAT records have different clocks. The accountant confirms the applicable periods.
