Change an existing LLP's registered office, a member's address particulars, its Single Alternative Inspection Location or the notified location of eligible inspection records through the appropriate Companies House route.

Coddan separates the right to use an address from the filing that places it on the register, checks jurisdiction and provider acceptance, and coordinates related notices without turning a filing fee into an annual address subscription.

A usable address and a registered change are different things

Establish the arrangement before notifying Companies House

The LLP or member must have the right to use the proposed address for the stated function. Where an address provider is involved, that provider must accept the LLP or member and the proposed use. The filing records the change; it does not create provider consent, purchase the service or renew it.

The reverse is also true. Ordering an address or records-location service does not alter the Companies House register. Until the correct notice is registered, the existing public particulars remain legally and operationally relevant.

Identify whether the change concerns the LLP, an individual member, a corporate member, a SAIL or specified inspection records.

Continuous statutory address

The new registered office must be appropriate before LL AD01 is filed

Every LLP must continuously maintain a registered office in its permitted part of the United Kingdom. The address is public and is used for Companies House, court, HMRC and other official correspondence where applicable.

An appropriate registered office is a physical address where, in the ordinary course of events, a document delivered by hand or post would be expected to come to the attention of a person acting for the LLP and delivery can be recorded by obtaining an acknowledgement. A Royal Mail PO Box or an equivalent address-only arrangement that does not satisfy those conditions cannot be used.

Public

The registered-office address appears on the public register. Using a home address makes that address public.

Attention

Official documents must ordinarily be expected to reach someone acting for the LLP.

Recorded delivery

A sender must be capable of obtaining an acknowledgement of delivery.

Right to use

The LLP must have permission to use the address and must replace it when that right ends.

LL AD01 changes the address within the LLP's permitted jurisdiction. It is not a route for transferring an LLP freely between England and Wales, Scotland and Northern Ireland.

LL AD05 has a narrow job: it records a change between an LLP registered in England and Wales and an LLP registered as situated only in Wales. It does not move an LLP into or out of Scotland or Northern Ireland and does not itself provide the new address.

Where LL AD05 and LL AD01 are both needed, Coddan establishes the permitted sequence and the address evidence before accepting the filings.

Online and suitably enabled software routes are available for the ordinary filings identified above. Paper remains available where the current route permits it. An LLP within PROOF must use the protected electronic route for protected registered-office and member-detail filings; paper submissions for those protected events are not accepted.

Public correspondence is not the private home-address record

Service and residential addresses must be changed deliberately

LL CH01 can carry more than one type of individual-member particular, but the service address and usual residential address remain separate legal fields. Instructions must say which one has changed. A service-address change does not silently update the home-address record, and a residential-address change does not alter the public correspondence address.

Companies House guidance requires changes to a member's details to be notified within 14 days. The true change date must be used even where the filing is late.

Address-only corporate changes

LL CH02 is available for an existing corporate member—not a new appointment

A corporate member supplies its corporate or firm name and its principal-office or other applicable registered particulars according to its legal form and governing law. LL CH02 changes the particulars of an existing corporate member. It does not appoint a new corporate member.

A routine, UK, address-only change may proceed through Change LLP addresses and records. If the instruction also changes the body’s identity, legal form, register, registration number, member status, designated status or control position, Change members, designated status and PSC details covers the wider event and any connected PSC analysis.

Routine address-only event

Existing corporate member, consistent UK particulars, evidenced new address and undisputed authority.

Wider corporate event

Changes beyond the address, or a connected RLE or PSC consequence, route to Change members, designated status and PSC details.

Overseas or uncertain particulars

Registry evidence, governing-law analysis, translation or certification may require assessment and a separate documentary or professional route.

Corporate membership does not itself determine PSC or RLE status, and an address change does not make that determination.

Current SAIL position verified

The SAIL survives, but the current LLP records list is narrow

An LLP may notify one Single Alternative Inspection Location, other than its registered office, where eligible records are kept for inspection. The SAIL must always be in the same part of the United Kingdom in which the LLP is registered.

Following the November 2025 register changes, the current LL AD03 and LL AD04 forms list only the following records for movement between the registered office and SAIL:

Register of debenture holders

Required where the LLP issues debentures; the notified register must actually be maintained and available for inspection at the stated location.

Copies of charge instruments

Copies of instruments creating and amending charges where the LLP has the applicable records.

The filing must reflect where the records are actually kept and available for inspection. It is not enough to notify a location without an operational records arrangement.

An overseas corporate-member case may additionally require registry evidence, constitutional or authority material and translation or certification where the particular filing needs it. Those requirements are assessed rather than imposed automatically.

Conditional routine route

The LLP remains registered; the event, address, jurisdiction, right to use, date and authority are clear; the current electronic route supports the filing; no related event is withheld.

Assess before acceptance

Several members or filings, LL AD05, SAIL coordination, historic particulars, overseas bodies, default-address cases, privacy issues, rejection or dissolution require review.

Pause, refer or refuse

Coddan will not file an unsupported address, false date, wrong-jurisdiction address, unauthorised provider location, concealed information or a notice that would misstate the public register.

A paper LL AD01 is required where current Companies House guidance directs it, including an LLP defaulted to the Companies House address, an LLP in liquidation or an LLP applying for restoration. PROOF restrictions and the LLP's status are checked before selecting the delivery route.

Processing begins only after Coddan accepts the instruction, receives complete particulars and authority, confirms the applicable address arrangement and deals with the Coddan fee under the accepted terms. Coddan does not guarantee Companies House processing time, registration, postal delivery, redirection or third-party updates.

Continuity does not arise automatically

Coordinate the legal change with mail, inspection and external records

An LLP must maintain a compliant registered office continuously. If an address subscription ends, the LLP must secure and register a replacement. It cannot continue presenting the former address merely because another address has been ordered or because post was previously received there.

After registration, the LLP may need to update its internal records, agreement references, website, invoices, letters, banks, payment providers, HMRC services, insurers, landlords, finance providers, regulators, professional bodies, customers and suppliers. Each external organisation controls its own evidence and processing.

Statutory mail

Neither Companies House nor the sender is guaranteed to redirect correspondence. Mail handling follows the provider's accepted scope.

Inspection records

The records must actually be available at the notified location. A filing without an operational arrangement is not enough.

Historic privacy

Old filings and former public addresses are not automatically erased. Removal or protection is a separate application.

Service renewal

Change LLP addresses and records has no renewal. Any ongoing right to use a Coddan address or records location is renewed separately under Registered office, service addresses and LLP records.

Notice periods, forwarding arrangements, retention, deposits and termination charges are governed by the individual address-service terms supplied before acceptance. This page does not invent or replace those terms.

The true event and address still matter

Late, rejected and inaccurate address filings

A missed filing requirement does not remove the obligation to update the register. Coddan must establish the actual address event and date; it cannot invent a later date to make the record appear current.

A rejection is corrected through the route required by the rejection reason. An inaccurate historic filing may require a correction, replacement, second filing, removal or rectification procedure rather than another ordinary current-address notice.

Registration is not organisation

An address filing does not create the wider business position

Changing a registered address or records location does not create a physical establishment, prove that the LLP trades there, establish tax residence, substance or management and control, guarantee banking acceptance or notify every third party.

Registered office, service addresses and LLP records covers the address, member service-address, mail and records-location subscriptions and their renewal.

Member and PSC events

Change members, designated status and PSC details covers appointments, cessations, designated status, non-address particulars and PSC consequences.

Annual compliance

Ordinary limited partnerships and Scottish limited partnerships do not use this LLP change service. Their current legal and filing route belongs to the relevant limited-partnership owner and must not be described as an LLP registered-office change.
