Closing an LLP begins with eligibility, not a strike-off form.
LLP Strike-Off — £125 + VAT. Recommended for a solvent LLP whose members are considering voluntary strike-off after trading has ceased and whose assets, liabilities, creditors and filing position can be screened. Coddan reviews the cessation and eligibility facts, identifies unresolved blockers, prepares the accepted strike-off application and coordinates the filing and completion record. The professional outcome is an eligible voluntary strike-off application submitted through the correct LLP closure route. The members must disclose all assets, liabilities, creditors, proceedings and outstanding filings and approve the application; an ineligible or insolvent LLP cannot use this service.
The fixed £125 + VAT is Coddan’s professional fee. The £13 digital Companies House strike-off fee is separate. This is a one-off conditional service with no renewal. Accounts, tax clearance, creditor work, asset recovery, insolvency advice, disputes, restoration and professional notices outside scope remain separate. If the LLP has already been dissolved, use LLP restoration. Outstanding accounts remain separately handled through LLP annual accounts. Companies House controls acceptance and publication, and strike-off cannot be guaranteed or used to avoid creditors or unresolved liabilities.

LLP Voluntary Dissolution and Strike-Off

A screened closure route for a solvent limited liability partnership that has ceased, or is properly preparing to cease, trading or business.

Coddan checks the three-month restrictions, member authority, assets, creditors, liabilities and connected filings before preparing the voluntary strike-off application. Filing is the beginning of the public process—not the date of dissolution.

Commercial position: Coddan's one-off professional fee is £125 + VAT. The current Companies House online fee is £13 and is charged separately. Accounts, tax, creditor, asset, legal and insolvency work are not included.

Start with the LLP's condition—not the form

Voluntary strike-off is a solvent closure route

An LLP may ask the Registrar of Companies to remove it from the register and dissolve it when the statutory conditions are satisfied. This is voluntary strike-off. It is not liquidation and it is not an alternative to formal insolvency proceedings.

The your first job is therefore to establish whether the LLP can properly use this route. An LLP that cannot pay its debts, is subject to insolvency proceedings, needs creditor protection or has unresolved insolvency concerns must be referred to a licensed insolvency practitioner.

Voluntary strike-off

A member-authorised application for an eligible LLP, followed by Companies House examination, public notice and an opportunity to object.

Liquidation or insolvency

A formal professional route where insolvency, creditor protection, asset realisation or a liquidator's statutory functions are required.

Registrar strike-off

A separate process begun by the Registrar—for example, where an LLP appears not to be carrying on business or is in filing default.

Restoration

A later route for a struck-off or dissolved LLP. Where members voluntarily applied for strike-off, restoration requires the court route if the applicable restoration conditions are met; administrative restoration is unavailable.

The three-month statutory screen

The LLP must have stopped ordinary business activity before it applies

An application must not be made if, at any time in the preceding three months, the LLP has carried on a prohibited activity. Coddan establishes the actual cessation date and what occurred afterwards; it does not select a convenient date to make the register appear current.

A dormant or non-trading description is relevant but does not prove eligibility by itself. The LLP must also satisfy the restrictions concerning other proceedings and must have dealt responsibly with its affairs.

Internal decision and filing authentication

Member authority comes before LL DS01

The filing rule and the LLP's internal decision are related but not interchangeable. The LLP agreement may govern how the members decide to cease business, settle their affairs and authorise the proposed closure. Disputed governance belongs to LLP agreements and governance or a solicitor.

More than two members

A majority of the current members must make and authenticate the application.

Exactly two members

Both current members must make and authenticate the application.

One remaining member

The remaining member may make and authenticate LL DS01, but the one-member history and any resulting liability or governance issue still require review.

Authentication does not manufacture consent, validate a disputed retirement or expulsion, amend the LLP agreement, distribute assets or establish the commercial rights of the members. Coddan prepares the administrative filing from complete and consistent instructions; it does not decide how members should vote.

LL DS01 contains a declaration about eligibility. A responsible application therefore requires evidence about the LLP's actual position, not only its name and number.

The online service is the normal route for an accepted Coddan instruction. The paper LL DS01 route remains available where required, but paper delivery and processing are external dependencies and the paper official fee is higher.

Welsh-language paper route: LL DS01c is the current bilingual form for an LLP that has elected to state that its registered office is situated in Wales rather than England and Wales. Its use does not alter the eligibility, member-authentication, notification or dissolution rules.

Direct notice is a you obligation

Required parties must receive a copy within seven days

Within seven days after the application is made, a copy must be sent to each person or body required by the current LLP strike-off rules. Registration on the public record and publication in the Gazette do not replace this direct notification duty.

Non-applying members

Current members who did not make the application must receive a copy.

Employees

Employees and relevant former employees owed money must be considered.

Existing and likely creditors

This can include banks, suppliers, landlords, tenants, guarantors and claimants. A disputed claim is not automatically omitted.

Public bodies

Relevant HMRC and DWP offices must be considered where outstanding, contingent or prospective liabilities exist.

Pension managers or trustees

A manager or trustee of an employee pension fund must receive a copy where applicable.

The duty continues while the application is pending. A person who later becomes a notifiable member, employee, creditor or pension manager or trustee must receive a copy within seven days of becoming notifiable, until the application is finally dealt with or withdrawn.

Application is not dissolution

From member decision to the second Gazette notice

Each stage has a different legal or operational effect. The LLP continues to exist, and must manage its responsibilities, until the second Gazette notice records dissolution.

Eligibility must continue

Withdraw the application when the route is no longer proper

The strike-off application must be withdrawn promptly if the members decide not to continue or the LLP ceases to meet the statutory conditions before the application is finally dealt with.

The current route is the Companies House online withdrawal service or paper form LL DS02. Withdrawal work is not included automatically in the £125 filing package.

  • the LLP resumes trading or changes its name;
  • a new transaction falls outside permitted closure activity;
  • an insolvency process or relevant arrangement begins;
  • a material asset, liability or creditor is discovered;
  • the application contains a material error;
  • member authority becomes disputed;
  • the members change their decision.

Applying while ineligible, supplying false or misleading information, failing to notify the required parties or failing to withdraw when required may constitute an offence and can lead to prosecution, fines and other enforcement consequences. Coddan will not leave an application in place to conceal a material change.

The LLP still exists while the application is pending

Submission does not switch off the rest of the lifecycle

LL DS01 does not complete outstanding accounts, confirmation statements, tax work or event-driven corrections. It does not terminate contracts, employment, registrations, insurance, leases, bank accounts or an address-service subscription.

Accounts and tax

LLP annual accounts and the accounting or tax specialist referrals own cessation accounts, outstanding accounts, returns, deregistrations and tax consequences.

Companies House record

LLP confirmation statements and continuing compliance covers confirmation statements; Change members, designated status and PSC details covers member and PSC corrections; Change LLP addresses and records covers address and records changes.

Registered office and mail

The LLP needs a working registered office and must monitor statutory correspondence until dissolution. Registered office, service addresses and LLP records covers subscription and termination terms.

Professional issues

Creditor disputes, contracts, assets, employment, pensions and insolvency remain with the responsible solicitor, accountant, tax adviser or insolvency practitioner.

Companies House acceptance records the application. It does not approve the LLP's governance, solvency, accounting, tax, creditor or distribution position and does not establish that every closure task has been completed.

The service does not guarantee Companies House acceptance, a particular Gazette date, absence of objections or dissolution by a specified date. Paper handling is confirmed separately before acceptance if the online route cannot be used.

Conditional application

Appropriate where the LLP remains registered and appears solvent; the cessation date, three-month position, assets, liabilities, creditors, filings and member authority are clear; required members can authenticate; and the you can complete the notification duties.

Acceptance follows evidence review. It is not an instant checkout.

Assessment first

Use assessment for an uncertain cessation date, unusual assets, historic defaults, employees, pensions, guarantees, litigation, a previous rejection, an objection, incomplete filings, a member who cannot authenticate or an LLP agreement that requires interpretation.

Stop and refer

Refer suspected insolvency, a winding-up petition, disputed authority, withheld creditors or assets, client or trust property, serious litigation, a request to misstate facts, a dissolved LLP or a matter requiring legal, tax, accounting, insolvency or foreign-law advice.

Registration is not organisation

An LLP must be organised out of existence as carefully as it was organised into operation

Incorporation does not automatically close the LLP when business ends. It does not settle assets or liabilities, notify creditors, complete accounts or tax returns, cancel registrations, terminate contracts, distribute property or remove member responsibilities.
