Confirmation Statement: Establish Whether Verification, the Personal Code or the Company Filing Remains

If your company is preparing its Confirmation Statement, first establish the director's present position. The relevant question may be whether identity verification is complete, whether Companies House has issued the director's Personal Code, whether that verified identity has been connected to the director appointment, or whether the remaining task is simply the company's Confirmation Statement filing.

Position 1

Verification Not Completed

The director should first complete an applicable Companies House identity-verification route. The free GOV.UK One Login service is available for eligible applicants.

Position 2

Verified and Personal Code Available

Companies House issues the 11-character Personal Code after successful identity verification. The code belongs to the individual, not the company. An existing director uses the code through the applicable Confirmation Statement process to connect the verified identity to that director appointment.

Position 3

Director and PSC

A person who is both a director and a Person with Significant Control holds two separate roles. The director-related Personal Code requirement and the PSC-related requirement must be treated separately; completing the director step does not itself complete the PSC step.

Position 4

Applicable Identity Work Completed

If identity verification is complete, the Personal Code has been issued, applicable director and PSC role linkage is complete and no identity or record discrepancy remains, Nothing Further Required may apply to identity verification.

Separate the Director's Verified Identity from the Company's Confirmation Statement Filing

Identity verification is an individual process. Companies House then issues the Personal Code. The applicable Confirmation Statement process uses the director's code to establish the relevant director position, while preparation and filing of the Confirmation Statement remain separate company activities.

Identity verification does not itself file the Confirmation Statement, and the Confirmation Statement does not itself perform the identity check. A successful ACSP verification also does not by itself complete director or PSC role linkage.

Eligible directors can use the official Companies House identity-verification service. The available verification method depends on the applicant's circumstances and the official service instructions.

Where selected, suitable and professionally relevant, an ACSP can verify the director's identity on the applicant's behalf. Support being available does not mean support is required.

Where Coddan-supported verification is used, technology performs the applicable identity and document checks within the route; Coddan reviews the resulting information; Coddan determines whether it is satisfied that the Companies House identity-verification standard has been met; and, following a successful outcome, Coddan performs its applicable notification responsibility.

The Personal Code is personal to the director and is not created or issued by Coddan. A director with more than one company uses the same Personal Code for each applicable appointment; holding several directorships does not ordinarily mean repeating identity verification simply because there are several appointments.

What Remains?

Check the director's verification status, Personal Code, applicable role linkage and any record discrepancy first. If those identity-related steps are complete, the remaining task may simply be preparation or filing of the company's Confirmation Statement. Nothing Further Required for identity verification does not remove the company's ordinary Confirmation Statement filing obligation.

Confirmation Statement position

Start with the company's next Confirmation Statement position

Before treating identity verification as the remaining task, establish which company is filing, whether its next Confirmation Statement is applicable, who its current directors are and what has already been completed for each director.

For each relevant director, check whether identity verification is complete, whether Companies House has issued the individual's Personal Code, whether the verified identity has already been connected to that particular appointment, and whether any personal or company record needs correction.

Separate the company's filing position from each director's identity position

A Confirmation Statement is a company filing. Identity verification is an individual requirement. One does not automatically complete the other, so review the company's filing position and every relevant director separately.

Company position

Confirm the company's next Confirmation Statement position, review the information that must be current, and establish whether the filing itself remains outstanding.

Director position

For each current director, establish whether verification has not started, is incomplete, has succeeded without an accessible Personal Code, has produced a code that is not yet connected, is already connected, or is affected by a record mismatch.

Initial control: identify the company, current directors and last completed identity-verification stage before repeating an identity action or treating the Confirmation Statement as the remedy for an individual verification problem.

Check each current director's verification and Personal Code position

Each director has their own Companies House identity and Personal Code. One director cannot use another director's code. The same individual Personal Code can, however, be used for the individual's applicable appointments across more than one company.

Code available, appointment not connected

The director may have completed verification and received the code while the relevant company appointment still requires the code to be provided through the applicable Confirmation Statement process.

Already connected

If the director's verified identity is already connected to the relevant appointment and no discrepancy remains, do not begin another identity-verification attempt. In most cases, the individual verifies only once and must not verify again unless Companies House tells them to.

Free route first; ACSP support remains optional

Where identity verification remains incomplete, the free Companies House route should remain visible and legitimate. An appropriate Authorised Corporate Service Provider (ACSP) route may be selected where suitable and professionally relevant.

Support being available does not mean support is required.

Where Coddan-supported verification is selected, technology performs the applicable identity and document checks within the described route. Coddan reviews the resulting information, determines whether it is satisfied that the Companies House identity-verification standard has been met and, following a successful outcome, performs its applicable notification responsibility.

Registration with Companies House as an ACSP and registration with a UK anti-money-laundering supervisory body are distinct requirements. Companies House identity verification is also separate from AML, KYC and CDD checks.

Connect the verified identity to the relevant director appointment

Companies House issues the Personal Code after successful identity verification. The 11-character code belongs to the individual, not to the company. For an existing director, the code is provided through the applicable Confirmation Statement process to connect the verified identity to that company appointment.

One individual code can cover multiple appointments

A director of more than one company uses the same Personal Code for each applicable appointment. Holding several directorships does not ordinarily require the individual to repeat identity verification simply because another company is involved.

Verification is one stage

Identity verification establishes the verified individual. It does not itself connect every director appointment or complete the company's Confirmation Statement.

The Personal Code is another stage

Companies House issues the code following verification. A missing, inaccessible or mismatched code should be diagnosed separately rather than automatically treated as failed identity verification.

Do not assume that the Personal Code must be resubmitted through every future annual Confirmation Statement after the relevant director appointment has already been connected, unless current Companies House guidance requires a further action.

Keep director and PSC role linkage separate

A person who is both a director and a person with significant control (PSC) holds two separate Companies House roles. Completion of the director requirement does not automatically complete the PSC requirement.

Director role

The director provides the Personal Code through the applicable Confirmation Statement process for the relevant company appointment.

PSC role

The PSC-related requirement is handled separately through the applicable Companies House PSC process. Its timing is role-dependent and should not be treated as the company's Confirmation Statement filing period.

Check current role-dependent Companies House guidance

Do not turn one completed role into another verification task

A failure at role-linkage stage is not automatically a failure of identity verification. Establish which role remains unresolved before taking another identity-verification action.

Correct the responsible record before filing

When a Personal Code or director linkage does not reconcile, identify which source contains the inaccurate information. Do not change every record or repeat identity verification simply because two records do not agree.

Personal Code or access issue

Check the code, the Companies House account or the relevant email/access position before assuming that verification must be repeated.

Personal or director particulars

Where a date of birth, name or other registered director particular is incorrect, use the process applicable to the responsible Companies House record rather than altering accurate identity evidence to match an error.

Company information

If the Confirmation Statement contains inaccurate company information, correct the responsible company record through the applicable filing process.

Reconciliation rule: correct the source responsible for the mismatch. An inaccurate director or company record, an incorrect verification detail and an inaccessible email address are different problems and may require different actions.

Where registered director particulars are responsible for the mismatch, use the director-details correction guidance. Where identity verification or code-to-record linkage remains unresolved, use the identity-verification reconciliation destination.

Prepare and file the Confirmation Statement as a separate company event

The Confirmation Statement remains a company filing. Identity verification does not itself review the company's registered information, correct the company record, prepare the Confirmation Statement, submit it or guarantee filing acceptance.

Review the company before the filing is submitted

Companies House guidance requires the company to review its information and update applicable records before confirming that the information is correct. This includes relevant director and PSC information where changes need to be reported.

For the identity-verification element of the next Confirmation Statement, establish that each current director has completed the applicable verification requirement and that the required Personal Code and verification confirmation can be provided through the filing process.

Identity work

Confirm that every relevant director's identity-verification and Personal Code position is ready for the applicable filing process.

Company filing

Prepare and submit the Confirmation Statement separately. The Participant may continue using an existing accountant, solicitor, company secretary or other filing provider.

Review the official Confirmation Statement filing guidance

Identify the remaining task or Nothing Further Required

Finish by matching the remaining professional job to the correct route. Do not create another identity-verification task where the applicable identity stages have already been completed.

Verification remains incomplete

Use the free Companies House route where applicable, or consider an appropriate optional ACSP route. Support being available does not mean support is required.

Role or record remains unresolved

Connect the verified identity to the relevant director appointment, complete a separate PSC requirement, or correct the responsible record.

Company filing remains

Prepare or file the Confirmation Statement as a separate company event, or proceed to another corporate event if that is the actual outstanding job.

Nothing Further Required: this is a legitimate identity-verification outcome where the relevant directors have completed identity verification, the applicable Personal Codes are available, the required director and PSC role connections have been completed, and no identity or record discrepancy remains. This does not cancel a separate Confirmation Statement filing obligation.
Role-dependent timing: check the requirement applying to the particular director, PSC, company and filing position. The company's Confirmation Statement filing period and a PSC's separate role-linkage period are distinct and must be addressed through their applicable processes.
